纪要 Content：

UBGS 项目在实施过程中遇到了不可预见的问题，给双方造成了很大困难，

目前现场施工到了收官阶段，为快速推进 UBGS 项目进度，共同克服冬季施工、

排水、场地等困难，MBM 公司和 JDEE 公司双方负责人进行了友好协商，达成

以下共识和协议，以资共同遵守：

There are some unpredictable problems during the implementation process of

UBGS project which caused great difficulties for both parties. Now the site

construction is under final stage, for accelerate the progress of UBGS project,

to overcome the difficulties such as winter construction, water discharge and

site arrangement, the top management of MBM and JDEE have friendly

communication, the following agreements have been reached and shall abide

by both parties.

1. 关于项目整体工期

For the overall construction period of the project

目前主生产线已经具备投产条件，将在供电后开始试生产。双方一致认

为 K31 车间是制约项目整体完工的主要因素，鉴于 K31 车间遇到的特殊情况，

经双方认真商讨，同意将 2018 年 3 月 31 日作为 K31 车间设备安装调试完

毕、具备带料运行的最终时点。具体为：2017 年 12 月 1 日 K31 沉井下沉到

位；2018 年 2 月 8 日前完成 K31 全部混凝土浇筑工作，2018 年 2 月 9 日至

2 月 20 日为混凝土养护期，安排中国工人冬歇回国；从 2 月 21 日开始复工，

至 2018 年 3 月底完成 K31 车间的设备安装调试，具备带料试车。

At the moment, the production line is ready for put into operation, it will start

commissioning after get the power supply. The both parties agree that the K31

is the main constraints for the completion of the project, consider the special

conditions of K31, after serious discussions by both parties, it agreed that the

31st March,2018 shall be the final date for the whole completion and ready for

load operation of the K31. the details are: 1st Dec.2017, the open caisson of

K31 finished, 8th Feb.2018, the concrete pouring for K31 finished, from 9th

Feb.2018 to 20th Feb.2018, is the curing period of concrete, the Chinese

workers back to China for winter break, from 21st Feb. 2018 return to work

until the end of March,2018, the equipment installation, commissioning

finished and ready for load operation of K31.

为确保整体工期按时完成，需 MBM 方提供如下协助：

For insure the whole construction period completed in time, the

following assist form MBM is required:

1.1 保证冬季施工期间的混凝土正常供应，不影响施工进度；

To insure the normal concrete supply during the winter construction and not

affect the progress of the project.

1.2 保证所有施工人员及时取得 HG 签证，不影响人员进场（包括跨年度施工

人员）；

To insure all of the construction workers (include the workers for multi-year

construction) can get the HG visas in time, not affect the workers come to the

site.

1.3 及时进行外部场地协调和铁路协调；

To arrange the out site and railway coordination in time.

若以上事项不能顺利得到解决而对正常施工造成影响，则 MBM 考虑对于 K31

工程予以合理延期。

If the issues mentioned above can not be solved smoothly and caused the

obstacles to the normal construction, the MBM shall consider to give proper

extension for the construction period of K31.

2. 关于费用和付款

For the costs and payments

2.1 JDEE 将全力投入人力、材料、机具进行工期抢工；MBM 承担 JDEE 方

因抢工而额外增加的相应费用，额外增加费用共计 USD942,610.15 美元；

MBM 将在 2017 年 11 月 30 日前支付 USD500,000 美元，剩余的

USD442,610.15 美元将在 k31 车间设备安装完毕后支付给 JDEE。JDEE

在 11 月 3 日前提交抢工增加费用明细，MBM 在 11 月 6 日前确认此费用，

并在一周内办理抢工人员的 HG 签证；

JDEE will spare no effort for put the labors, materials and equipment for catch

up the construction; the MBM shall be borne the related additional costs for the

catch up construction by JDEE. This additional costs is USD $942,610.15.

MBM will pay USD500,000 before 30th November 2017, and pay the rest

USD442, 610.15 to JDEE after the equipment installation of K31 department is

finished. The JDEE will submit the detail cost list for the catch up construction

on 3rd Nov.2017, the MBM shall confirm and approve it before the 6th

Nov.2017 and manage the HG visas for the workers of catch up construction

within a week.

2.2 MBM 同意提供厂区回填土并承担 JDEE 之前采购回填土的费用。JDEE

将已经采购的回填土费用明细提交给 MBM 后 10 日内，MBM 进行确认，

确认完 5 日内将款项支付给 JDEE。今后回填土由 MBM 负责采购，JDEE

在使用回填土前 5 日，将用量明细提交给 MBM，MBM 将根据 JDEE 要

求的采购到场时间及时采购到位，不影响现场施工。

The MBM agree to supply the back fill soil and borne the cost for purchase the

back fill soil previously. The MBM shall confirm the detail cost list for purchased

back fill soil within 10 days after the date JDEE submit it to the MBM, and with

5 days after confirmation, the payment shall be paid to JDEE. The MBM shall

purchase the back fill soil to the site in future. The JDEE will submit the list for

the needed amount of back fill soil to MBM 5 days in advance and MBM shall

purchase the back fill soil to the site on time based on the requirement of JDEE

in order not affect the construction.

2.3 MBM 将全力保证及时支付工程相关款项，并承诺 11 月 3 日前支付 UBGS

和 O&M 两个项目所有应付款。具体款项如下：

The MBM will do all they can do to ensure the construction related payments

can be paid in time and promised to pay all of the payable payments for both

UBGS project and O&M project before the 3rd Nov.2017. the detail as follows:

MBM 将在本会议纪要签署后 7 日内，支付给 JDEE50%工业性能测试款（Interim

Payment Against Achievement of Industrial Production Tests ）共计 USD

388,325 美元，剩余的 50%工业性能测试款将根据 EPC 合同在完成工业性能测

试后支付。

Within 7 days after sign this MOM, the MBM shall pay 50% of Interim Payment

Against Achievement of Industrial Production Tests to JDEE which the amount

is USD 388,325, the rest 50% shall be paid to JDEE after the JDEE finish the

Industrial Production Tests according to the EPC contract.

3. 关于 UBGS 项目预付款保函、履约保函及工程延期责任

For the advance payment guarantee, performance guarantee and project

delay liability of UBGS project

3.1 MBM 同意预付款保函及履约保函在 2017 年 12 月 31 日到期后自行失效

解除，其中履约保函到期后，按照银行规定程序重新签署。

The MBM agree that both advance payment guarantee and performance

guarantee will automatically invalidated when it expires on 31 st Dec.2017. and

for the performance guarantee, it shall be resigned after it expires according

to the bank procedures.

3.2 鉴于 K31 系统遇到的客观不可预见困难，双方同意将 2018 年 3 月 31 日

作为 EPC 合同中关于延期交付违约金（Liquidated damages for delay in

delivery）的考核时点。若 JDEE 未能按照 2018 年 3 月 31 日使 K31 系

统具备带料试车条件，则每延迟一天承担延期交付违约金 10000 美元（壹

万美元），延期交付违约金的最大额度不超过 USD300,000 美元（叁拾万

美元）。在设定本延期交付违约金条款后，MBM 方不再按照 EPC 合同中

的相关条款来要求 JDEE 承担其他延期交付违约金。

In consideration of unpredictable difficulties of K31, the both parties agreed

that the 31st March 2018 shall be the assessment date for the term “Liquidated

damages for delay in delivery” in the EPC contract. If JDEE failed to make the

K31 ready for load commissioning on 31st March 2018, the liquidated damage

for delay which is USD10,000 (in saying: ten thousand USD) per day for delay

shall be paid by JDEE, the maximum liquidated damage shall not exceed

USD300,000 (in saying: three hundred thousand USD). After settle this term

for the liquidated damage for delay, MBM can not, based on the related terms

of EPC contract, claim any other liquidated damages for delay to JDEE.

 受冬季气温过低影响，JDEE 将在 2018 年 4 月份以后开始进行道路，屋

顶防水，建筑物泛水等非主生产线土建施工，MBM 不会因这些土建施工

完工时间超过 2018 年 3 月 31 日而认为 JDEE 延期违约。

Subject to the excessive low temperature in the winter, the civil works which

not for main production line such as road, roof water proof and building

water-floating shall be start the construction after the April, 2018 by JDEE. The

MBM will not claim for Liquidated damages for delay in delivery based on the

completion date of the civil works mentioned above are exceed the 31st

March 2018.

In consideration of unpredictable difficulties of K31, the both parties agreed

that the 31st March 2018 shall be the assessment date for the term “Liquidated

damages for delay in delivery” in the EPC contract. If JDEE failed to make the

K31 ready for load commissioning on 31st March 2018, the liquidated damage

for delay which is USD10,000 (in saying: ten thousand USD) per day for delay

shall be paid by JDEE, the maximum liquidated damage shall not exceed

USD300,000 (in saying: three hundred thousand USD). After settle this term

for the liquidated damage for delay, MBM can not, based on the related terms

of EPC contract, claim any other liquidated damages for delay to JDEE.

4. 其他需要尽快解决推进的事项

Other issues need push urgently

4.1 MBM 同意按照 JDEE 修改后的意见签署关于 JDEE 委托蒙古子公司收款

和进行工程建设的确认书，将于 11 月 1 日签署完毕并发给 JDEE。

The MBM agree to sign the confirmation letter for JDEE entrust Mongolia sub

company to receive the payments and conduct the engineering construction

which revised by JDEE. It will be signed on 1st Nov, 2017 and send to JDEE.

4.2 关于包装车间增加自动插袋机技改项目，双方确认将由 JDEE 负责包装车

间增加自动插袋机改造项目的施工；MBM 将在得到蒙古当地的 FLS 公司

设备报价后确定是否需要由 JDEE 负责设备供货。

For the packing plant reform project, the both parties agree that JDEE will

in charge of the installation and construction for this project. After MBM get

the quotation from local FLSimith branch, it will decide if JDEE can in

charge of the equipment supply for this project.

以上纪要对双方均具有约束力，双方将按照以上纪要内容切实履行各自

责任。

The MOM above has binding on both parties, the parties shall execute their

responsibilities according to the MOM mentioned above.
