SUB : Letter Of Appointment

Its pleasure in appointing you in our Company as Sr. Manager - Operations or in such other
capacity the Company shall from time to time determine on the following terms:

1. Place of Employment and Timing

1.1 Your initial place of work will be at Webel HRDC, P-1 Taratala Road, Kolkata 700088, West
Bengal. However, your services are transferable, and may be assigned, after reasonable notice, to
any other location, department, function, establishment, or branch of the Company or its subsidiaries
associate or affiliate Company. In such case you will be governed by the terms and conditions of
service applicable to such transferred assignment including compensation, working hours, holidays,
leave, people policies etc. Your date of reporting will be 02.08.2015. The duties to be performed by
you hereunder shall be performed in such locations as are reasonably necessary or appropriate to
carry out your duties.

1.2 You will be expected to attend the office – except when traveling on business-during the Working
hours/shifts as may be decided by the company from time to time.

1.3 After you have joined the company, the release of your salary shall be subject to your submission
of the documents listed in annexure – 2.

1.4 You will be on a probation for a period of Six Months from the date of appointment. If in the sole
opinion of the Company you are found suitable in the appointed post, then you will be confirmed.
1.5 You shall retire from the services of the Company on completing 58 years of age.

1.6 You will be bound by the standing orders / policies / rules or regulations of the Company as in
force from time to time.

2. Compensation and Benefits

2.1 As compensation for services to be rendered pursuant to this letter,the company shall pay you a
monthly salary every month as per the date determined by the Company from time to time. Please find your
salary structures mentioned in annexure - 1.

2.2 You will be entitled to other compensation and benefits in accordance with the Company Policy as
intimated to you from time to time.
2.3 Your salary will be reviewed perodically as per Company policy.
2.4 Changes in compensation are discretionary and will be subject to and on the basis of effective
performance and results during the period and other relevant criteria.
2.5 Your compensation is subject to appropriate tax deduction at source as per applicable tax rules and
regulations.

3. Term Of Service:

3.1 You will have a probation period of six months from the date of joining the company. During this
time, your appointment could be cancelled by giving 1 months notice from either side or one
month salary in lieu. You will be deemed to continue on probation until you are confirmed, and it
will be communicated to you in writing. If it seems your performance is not up to mark or not
profitable for the business terms of the company, you would be required to continue on probation
for an extended period also which will be at the sole discretion of the Company. After
confirmation, your appointment can be terminated by providing one month notice period from
either side or one month salary in lieu. Further, the company may, at its discretion relieve you from
such date as it may deem fit even prior to the expiry of the notice period given by you. However, if
the management desires you to continue the employment during the notice period, the employee
shall do so.
3.2 In the event of termination of the employee’s services arising out of disciplinary proceedings, no
notice will be required from the company side.
3.3 If you remain absent from work without any authorization or reasonable explanation, for more than
Three consecutive days, it will be presumed that you are no longer interested in working for the
company and have abandoned its services. The company will have the right to terminate your
contract of service and withhold any money due to you for any period of time it deems fit.
3.4 In case of a resignation from the employees’ side he/she should provide a one month’s prior notice
to the management regarding the same failing which his/her one month’s salary will not be
disbursed from the company.
3.5 Your employment in the Company will be subject to your found and remaining physically and
mentally fit and alerts to perform your duties. Your services will be liable to be terminated without
any requirement of Notice period from the Company on being found physically and mentally unfit
by the Company at any time.
3.6 Your employment in the Company will be subject to satisfactory performance of the duties
delegated to you. In an event if your performance is not found to be either satisfactory or meeting
up to the expectation of any project assigned to you, then in such circumstances the Company can
terminate your services without providing any notice period.
3.7 You will be entitled to 12 days of leave in a year and other holidays as per Company Policy which
would be decided and intimated to you by the Company from time to time.
3.8 You will be entitled to avail the leaves allotted to you after the completion of the Probation Period,
any leaves prior to the completion of the Probation Period will attract deduction of salary as per
Company norms.
3.9 You will be eligible for perquisites, if any, as applicable on functional requirements as determined
by the company.
3.10 You will participate in the Company Provident Fund Scheme as per the rules and policies
applicable.
3.11 You will be eligible to participate in the medical program for the employees.

4. Confidentiality:

4.1 During the course of the business, the company is required to keep confidential, the
Information about its customers and itself and for the purpose of ensure the same from each
Employee assigned to perform services for the company/its customers and each employee who
Obtains or is in a position to obtain any such information or materials.

4.2 During the normal courses of business, it may be imperative to record/ monitor all calls made by
You in order to access quality, as applicable. These clauses by no means would impede upon
You’re working ability/ capacity and should be taken in light of company procedures and politics.

4.3 You shall therefore, regard and preserve as confidential all information related to the business
and activities of the company as well as its customers, their clients, suppliers and other entities
with whom they do business which may be obtained by them from any source or may be
developed as a result of any of the said agreements with the company’s customers, shall hold such
information in trust and confidence for them and not disclose any such information for any person,
firm or enterprise, or use any such information for your own benefit or the benefit of any other
party, unless authorized by the company.
4.4 You shall not directly or indirectly, engage in or assist others to engage in, any activity or conduct
that violates the provisions of this clause.

4.5 You acknowledge that the information, observations and data concerning the Company and/or the
Customers provided to you, is and shall continue to be the property of the Company and/or its
Customer’s, as the case may be and that you shall not be entitled to any right or license in relation to
the said information, nor shall you copy, reproduce, publish, distribute, adapt, modify or amend any
part thereof, without the prior written consent of the Company/ the Customers, as the case may.

4.6 You are not a party to or aware of any agreement, obligation or restriction that prevents or prohibits
you from complying with these obligations and you hereby further agree to take any other steps
reasonably required and/or appropriate to ensure compliance with the obligations set forth herein.

4.7 You understand that if you threaten to or actually breach or fail to observe any of the obligations
set forth in this Clause, the Company will be subject to irreparable harm, which will not be adequately
satisfied by damages and you therefore agree that the Company shall be entitled to injunctive relief
and/or any other remedies permitted, to ensure and enforce your compliance with these obligations in
the unlikely event you do not comply with them; provided, however, that no specification herein of
any or particular legal or equitable remedy shall be construed as a waiver, prohibition or limitation of
any legal or equitable remedies available to the Company.

4.8 You shall deliver to the Company upon cessation or termination of your employment, or at any
other time the Company may request, all memoranda, notes, plans, records, reports, Identity Card,
computer tapes and software and other documents and data (and copies there of) relating to the said, or
the business of the Company or any affiliate or its Customers which you shall then possess or have
under your control.

4.9 You agree that, notwithstanding the cessation or termination of your Employment, the
Confirmation and undertakings under this clause shall always continue in full force and effect.

5. Whilst employed by the Company you:

5.1 Will not engage in any external activities of a commercial nature.

5.2 Will not engage in any activity of a non commercial nature without prior written approval of the
Company.

5.3 Will be required to effectively carry out all duties and responsibilities assigned to you by your
Superior and others authorised by the Company to assign such duties and responsibilities. Your
Performance will be subject to annual appraisal by your superior.
5.4 Will be required to apply and maintain the highest standards of personal conduct ,integrity and
discipline and comply with all Company policies and procedures.

5.5 You agree that you shall not directly, share, discuss your compensation details, in full or part,
With any person in or outside the organization other than those authorised to do so.

5.6 Will not make any statement or give any interviews to media, newspapers, magazines, news
channels or local channels in relation to Company unless you are authorized to represent and make
statements on behalf of the Company.

6. Conflicts of Interest:

6.1 You are required to engage yourself exclusively in the work assigned by the Company and shall
not take up any independent or individual assignments ( whether the same is part time or full time, in
an advisory capacity or otherwise ) directly or indirectly.

6.2 You shall ensure that you shall not, directly or indirectly, engage in any activity or have any
interest in, or perform any services for any person who is involved in activities which are or shall be in
conflict with the Company’s interest.

6.3 The Conflict of Interest Policy also refers to the need on your part, during your employment and
for a period of one year from the cessation of your employment with the Company ( irrespective of the
circumstances of, or the reasons for, the cessation ) not to solicit, induce or encourage :
 Any employee of the Company or its subsidiaries to terminate their employment with the
Company or to accept employment with any third party who is competitor, supplier or
Client of the Company and with whom you have a connection.
 Any Client or vendor of the Company to move his existing business with the Company to a
third party or to terminate his business relationship with the Company.
 Any employee of the Company to become associated with, or perform services of any type
for any third party.

7. General:

7.1 You represent and warrant that you have not provided the Company with any false declaration or
wilfully suppressed any material information. If you have, then you will be liable for appropriate
disciplinary action including immediate termination of employment. You confirm that there are no
agreements, oral or written, which you have entered into and which may affect your commitments
under this Appointment Letter.

7.2 Your employment terms may be specifically enforced legally, if required. In this connection, if any
of the provisions of this Appointment Letter are declared or found to be void or unenforceable due to
any reason whatsoever, the remaining provisions shall continue in full force and effect.
7.3 These employment terms supersede and replace any existing agreement or understanding, if any,
between the Company and you relating to the same subject matter.

7.4 The Company will deduct requisite amounts towards any loss /damages suffered by the Company
in case of failure to return identification card /access card any locker keys, if any, such amounts can
be deducted as per Payroll Policy.

7.5 Your appointment is on the basis of information / documents furnished by you. Further, your
appointment is subject to successful completion of background verification. If the information or
documents provided by you are found to be false / fraudulent or if it is found that you have any
criminal record , then the Company reserves the right to take appropriate ( Criminal / Civil ) action
against you including termination of employment.

7.6 Any matter or dispute arising in respect of your appointment would first be settled amicably
between us. In the event parties fail to resolve the dispute amicably, then the same shall be referred to
arbitration and such arbitration shall be conducted in accordance with the provisions of The Arbitration
and Conciliation Act, 1996. The arbitration shall be held at Kolkata and proceeding shall be conducted
in English Language.

It is understood that your date of joining Connectica Management Services., will not be later
than 02.06.2014, failing which this letter of appointment will automatically stand revoked without
any further notice. Please sign and return the duplicate copy of this letter in token of your
acceptance of the terms described in this letter. This Appointment Letter shall be governed and
interpreted in accordance to the laws of India and the courts at Kolkata only shall have exclusive
jurisdiction in all matters arising out of this Appointment Letter.

6 Document to prove Date of Birth – municipality birth certificate passport class X admit card
7 1 photocopy of a photo identity card.(Voter ID card/PAN card/Passport/Driving Licence)
8 1 photocopy of Address Proof (Voter ID card/Passport/Driving Licence/Bank Statement of last 6
months/Electric Bill/Telephone Bill)
