Dear Sir,
Intent Letter for the Position of Territory Engineer

With reference to your application and subsequent interview with us, we are pleased to offer you the
position as Territory Engineer with WEXPER INDIA LIMITED (the “Company”) at our Head Office –
Gurgaon, posted at Bangalore or at a location as may be specified by the company in future, subject
to terms & conditions and including all company policies.

Compensation
Your Gross Monthly Compensation will be Rs. 22,000/- (Rs. Twenty two Thousands only) subject to
various deductions as per company and government policy.

Performance Incentive Plan


You will be eligible to claim the Performance Incentive as per Agreed Terms. All incentives will be
disbursed to only those who will be on board on the day of disbursal as bonafide employees.

Eligibility to the Performance Incentive Plan is subject to completion of three months of service in an
Incentive Plan Year. However, incentives disbursement is solely at the discretion of the management
and it may also alter/withdraw or dissolves the scheme at any time.

Vehicle Plan
You are eligible for the Vehicle Plan as per the applicable policy of the company.

Non-disclosure Agreement
As per the company policy, you are required to sign a standard Non-disclosure agreement at the time
of Joining, to protect Company classified/proprietary information.

Probation
You will be on probation for a period of three months from the date of joining. On satisfactory
completion of the probation period, you will be confirmed for the regular employment with company.

During the course of your employment with the company, you will use your best efforts and exercise
the utmost degree of skill, competence and diligence in performing your service. Such service shall be
rendered each business day during normal business hour and as may be applicable per the company
policy from time to time.

Termination
As a confirmed employee, your employment with the company may be terminated by either party
upon giving three months’ prior written notice, or by payment of proportionate salary* in lieu thereof.
However, while on probation, employment may be terminated by either party upon giving one
month’s prior written notice or salary* in lieu thereof. (*Salary to be calculated on basic monthly
salary). Further, at the time of leaving, you must ensure that all your ongoing activities are
successfully completed.

Important
The compensation information is company confidential. We request you to use discretion in handling
your compensation related information. As a company policy, we prohibit sharing this information
with other employees or unauthorized personnel. Any unauthorized disclosure of compensation
information will tantamount to violation of the confidentiality and ethics policy.

The roles & responsibilities and other terms & conditions of your employment will be specified in your
Appointment Letter.

We would like you to join on or before 30th April, 2010. Please sign the copy of this letter as a token
of your acceptance of the terms and conditions stated herein. Please send the signed copy back to
us within seven days.
