LETTER OF APPOINTMENT

Dear Mr.

This has reference to your application and the subsequent interview you had with us, we are pleased to offer
you an appointment as Deputy Manager-Sales in our company at Audi Ludhiana. You
have been selected on the following terms and conditions:

1. Your monthly Gross salary will be Rs - 30220 /- (Rs. THIRTY THOUSAND TWO HUNDRED AND TWENTY
ONLY) and the bifurcation is as under:

Basic Rs. 12400 /- (Rs. TWELVE THOUSAND FOUR HUNDRED ONLY)

HRA Rs. 4960 /- (Rs. FOUR THOUSAND NINE HUNDRED SIXTY ONLY)

T.A Rs. 800 /- (Rs. EIGHT HUNDRED ONLY)

Special Rs. 5860 /- (Rs. FIVE THOUSAND EIGHT HUNDRED SIXTY ONLY)

Reimbursement against voucher

Conveyance Rs. 4000/- (Rs. FOUR THOUSAND ONLY)

Washing Rs. 1200/- (Rs. ONE THOUSAND TWO HUNDRED ONLY)

Medical Rs.1000/- (Rs. ONE THOUSAND ONLY)

2. You will be governed as per statutory rules of EPF & FPF , ESI , Gratuity , Bonus / Ex-Gratia
whichever is applicable .

3. You will be bound by all rules and regulations either in existence or enforced by the management from
time to time in relation to conduct, discipline, leaves, holidays or any matter relating to service conditions
which will be deemed as rules, regulations and which forms a part of these terms of employment.

4. Your services are liable to be transferred from one place to another anywhere in India and/or from one

department to another and/or from one office to another either existing or which may be set up in future
subject to the condition that your emoluments will not be adversely affected. You can be sent on
deputation or the services can be assigned to any organization or establishment where the management has
any concern, connection or interest or purposes to have the same.

5. Your days of work and working hours will be as per the working hours of the office/factory in which you
are for the time being posted and can be changed at the discretion of the management. You will be entitled
to leaves, holidays and other service benefits as per the rules prevalent and practice of the management
either in existence, extended or awarded from time to time for your category of employees in the
office/factory in which you are for the time being posted.

6. Absence for a continuous period of eight days (including absence when leave though applied for but not
granted) and when over-stayed for a period of ten consecutive days would make you to lose your
increment / lien on the job, at the discretion of the management.

7. You will be entitled to leave and holidays and other service benefits as per the rules prevalent and practice
of the management either in existence extended or amended from time to time for your category of
employees in the office/factory in which you are for the time being posted.

8. This employment is being offered to you on the basis of the particulars submitted by you in your application for
employment However, if at any time it emerges that the particulars furnished by you were false/ incorrect or if
any material or relevant information had been suppressed or exaggerated, concealed .this appointment will be
considered ineffective and irregular and you would be liable to be terminated the management forthwith
without notice or salary in lieu thereof. This will be without prejudice to the
right of the management to take disciplinary action against you for the same and withholding/forfeiting the
benefits.

9. During the period of your employment with the management you shall not secure or apply for any other
post or undertake any course of study or work whether part time or full time or engage yourself in any
profession or employment whether in an honorary capacity or otherwise without the prior consent in
writing of the management.

10 The Company is going to repose a great deal of confidence in you and expect that you will
reciprocate the same by maintaining confidentiality. You will sign a separate undertakings to
maintain confidentiality with the Company, which becomes part and parcel of your terms of
appointment as well as IT policy.

11. You shall always have your postal address or communication address kept updated with the management
informing changes immediately as and when they may occur including at the time when you proceed on
leave.

12. That the continuation of your service is subject to your being found remaining medically (Physical and
mental) fit. The management shall have the right to require you to subject yourself at any time during your
employment with the company to medical examination by their own Doctor. If you are not found
medically fit (physical & mental), you may be terminated at any time by giving you one-month notice or
salary in lieu thereof.

13. In case you are charged with any act of misconduct or violation of rules, you may be suspended from
service pending enquiry. If you are held guilty of misconduct or violation of rules, in addition to the
imposing of penalty / punishment upon you as per the rules of the company, you will not be entitled to any
remuneration for the suspension period. Incase, however, you are not found guilty, you will be paid
remuneration for the suspension period and treated as if you had been in service during this period.

14. You shall not divulge or disclose any technical data, know-how or special information which comes into
your possession or knowledge, whether directly or incidentally during the course of your employment with
the management and the same shall be kept in strict confidence and secret by you solely for the use of the
management during the course of your employment. After you leave the employment of the company or
your services are terminated for whatsoever reason, you shall not put such technical data, know-how or
special information to any commercial use whether by yourself or on behalf of any other person or body
corporate.

15. We look forward to have a mutually beneficially very long-term association with you but in case of
loss of confidence in you by the management, or any act of yours involving moral turpitude or
yours
performance is not found upto the expectation of the management your services can be
terminated
without giving any notice or salary in lieu.

16. The company has made and is continuously making huge investments to regularly upgrade its facilities.
These facilities will be made available to you in course of your employment and also you will be provided
with the theoretical and practical training on the job on continuous basis to regularly upgrade your
knowledge and skills thus there will be direct and indirect investment on you. To commit yourself to take
care of the investments that will be made on you on continuous basis, you will have to serve the notice period
of 1 month in case of your resignation.

17. This appointment letter shall be binding on your heirs, executors, administrators and successors-in-interest.

18. We hope that relationship entered with you will be permanent and that we will have the pleasure of having
you work with you until you reach the age of 58 years when you will retire since that is our statutory
retirement age

19. Your salary will be reviewed periodically by your seniors and we hope growth will be substantial one. To
ensure that you can grow rapidly, it is absolutely necessary and vitally important that all your salaries,
allowances, increments and Bonuses etc, must be kept absolutely confidential and disclosure of these to
any one will be very serious offence.

20. Any dispute or difference arising out of or relating to above mentioned condition shall be referred to the
sole arbitrator nominated by the company. Such arbitration proceedings shall be in accordance with the
provisions of Indian Arbitration and Conciliation Act, 1996 and venue of such arbitration shall be Head
Office of the company at Chandigarh.

21. The courts at Chandigarh alone shall have jurisdiction to entertain or adjudicate upon any dispute arising
out of or relating to this agreement.

22. This comes into effect from the date of your joining the services i.e. MONTH,0, 2010.
