The investigation concerns whether the UPFC Board of Directors breached their fi
duciary duties to UPFC stockholders by failing to adequately shop the Company be
fore entering into this transaction and whether Pine Brook is underpaying for UP
FC shares, thus unlawfully harming UPFC stockholders. In particular, for the mos
t recent quarter, the Company reported a book value of $8.54 per share.
