MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is made and entered into by and between:

ANR PROLIFIC LAND CORPORATION, a corporation duly organized

and existing by virtue of the Philippine Laws, with office address at 1248
Miranda St., Angeles City, duly represented by its President, MR. JOSE
CAMILO N. DEL ROSARIO, hereinafter referred to as the FIRST
PARTY.

-and-

__________________________________of legal age, single/married,

Filipino citizen, with residence and postal address at
__________________________________________ hereinafter referred to
as the SECOND PARTY.

WITNESSETH:

WHEREAS, the First Party is engaged in a business of a real estate

development, and one of their project is located at Town and Country Homes,
Brgy. Pulungbulo, Angeles City.

WHEREAS, the Second Party is the owner of the subdivision lot/s located
at Town and Country Homes, Brgy. Pulungbulo, Angeles City.

WHEREAS, the First Party and the Second Party have mutually agreed that
in the event that the Second Party would decide to sell and/or dispose his/her lots
and the residential house constructed thereon, the First Party would be the non-
exclusive real estate broker /agent with the corresponding commissions and under
the following terms and conditions:

NOW, THEREFORE, for and in consideration of the terms and

agreements, both parties have mutually agreed to the following:

1. That in case of sale of the Second Party’s property,

the First party would be his/her non-exclusive agent to sell and/or
dispose the same with the corresponding commission equivalent to
seven percent (7%) to be computed from the gross sale.;

2. That this agreement of the Parties shall be of

minimum of two (2) years to mutually protect their rights.
