ASSOCIATE AGREEMENT (EMPLOYMENT CONTRACT) STATEMENT OF MAIN TERMS AND CONDITIONS OF EMPLOYMENT FOR AN ASSOCAITE DENTAL SURGEON In accordance

2 Your previous employment with_____________________________________ counts as part of your continuous period of employment by the Principal. Some of your obligations 5 Maintain your GDC registration. 6Fulfil and obey all lawful directions and orders of the Principal from time to time given and not at any time, except in case of illness or other unavoidable cause or permitted holidays, absent yourself from the service of the Principal. 7 Keep proper accounts of all professional services given and all patients attended, operations performed and prosthetic work and all other business done by you on the Principal s account and forthwith pay all monies so received to the Principal or as directed. You will collect all usual and necessary dental charges and keep registers of the work done for all patients attended to by you. 8 Hold, at your own expense, appropriate membership of a defenceorganisation or insurance cover that includes professional and legal advice that has been approved for practice under General Dental Services/Personal Dental Services arrangements. 9 Apply for and if accepted hold a policy with a reputable Insurance Society against sickness and accident. 10 In relation to any patient treated by you under the National Health Service comply with all terms of service for the time being in force relating to the provision of General Dental Services and

indemnify the Principal against all loss suffered or incurred by the Principal by reason of withholdings due to any failure of yours so to comply with the said terms of service. Probationary period 11 The first ._ weeks of your employment will be probationary.

12 Your employment may be terminated on one week s notice given in writing either by the Principal or by you at any time during or at the end of this period. 13 Your continued employment will be reviewed at the end of your probationary period. Salary (delete either 14A or 14B) 14AYour gross salary at the commencement of your employment will be ___________ per annum to be paid monthly in arrears after deductions [by credit transfer] [by cheque] [by cash] on the ___________ day of each month. You will receive a monthly pay-slip and your pay will be subject to tax and employees National Insurance contributions. OR 14BYou will be paid monthly in arrears after deductions by cheque. (a) ___________ % of the gross amount of NHS fees paid to the Principal in respect of treatment by you and continuing care and capitation fees paid for patients who are registered under your suffix, after deduction of laboratory bills and your NHS superannuation contributions. and (b) 50_ % of the gross amount of all private fees paid to the Principal in respect of work done by you in accordance with this agreement, after deduction of laboratory bills. The Principal shall afford you every reasonable facility to inspect and copy such day books or documents as may be necessary to calculate or check payments made or due pursuant to the above. If you are unable to work for any complete normal working day due to failure of equipment or lack of materials or support staff, you will be paid for that day/those days pro rata on the basis of your average daily earnings during the preceding month. 15 You will be notified in writing of any change to the above. Thursday from _______________________ to ________________________ Friday from _______________________ to _______________________ Saturday from ________________________ to ________________________ You are allowed 1 hour for lunch, to be taken between 1.00 pm and 2.00 pm. Day-to-day arrangements will be agreed with the Principal in accordance with operational requirements. 18 Where the Principal requires your services outside these hours compensatory time off will be given by arrangement. Reduction in normal hours 19 The Principal reserves the right to lay you off or to make temporary reductions to your normal hours of work if in the view of the Principal this should become necessary. If you are laid off you are entitled to receive a guaranteed payment not exceeding . per day and not exceeding five days in any three month period. 20 You will be given not less than 24 hours notice of any such lay-off or not less than one week s notice of any temporary reduction in your normal hours of work. Holiday entitlement 21 The holiday year runs from January to December. 22 In each holiday year your entitlement to paid holiday will be: 6 weeks. 23 You must give at least 4 weeks notice of proposed holiday dates and these must then be agreed with the Principal. 24 In exceptional circumstances you may carry unused entitlement forward to a subsequent holiday year with the prior agreement of the Principal. 25 If you are discharged from employment for reasons other than misconduct, or if after three months service you choose to leave the practice, payment will be made in respect of any accrued holiday entitlement which has arisen but has not been taken at the date of termination on a pro rata basis. One day s wage will be regarded as 1/20th of your average monthly payment. A deduction will be made from your last pay for any holiday taken in excess of your entitlement at the date of leaving. Public holidays 26 You are entitled to all public holidays in addition to your holiday entitlement. Notification of sickness or other absence

27 If you are absent from work for any reason and your absence has not previously been authorised you must inform the Principal by 8.00 am on your first day of absence as to the reason for absence and, if possible, when you hope to return to work. 28 In the case of an absence of uncertain duration you must keep the Principal regularly informed of its expected duration. 29 If you are absent from work due to sickness or injury which continues for more than seven days(including weekends) you must provide the Principal with a medical certificate on the eighth day of sickness or injury. Thereafter medical certificates must be provided to the Principal on a weekly basis. 30 There is no sick pay scheme in operation outside of normal Statutory Sick Pay. Pensions 31 As an assistant working in the NHS you are entitled to be a member of the NHS SuperannuationScheme in which case 6% deductions from your pay will be made on your superannuable income. There is a contracting out certificate in force as required by the Social Security Pensions Act 1975. Notice 32 If your employment is confirmed at the end of your probationary period the period of notice to be given in writing by the Principal or by you to terminate your employment is 3 months which will be increased to comply with the following minimum statutory entitlements: Length of service From 1 month up to 2 years 2 years 3 years Notice entitlement 3 months 3 months 3 months

33 The Principal reserves the right to pay salary in lieu of notice. 34 Nothing in this section shall prevent the Principal from terminating your employment without notice or salary in lieu of notice in appropriate circumstances. 35 If you are guilty of serious misconduct or persistent neglect of duty or of breach of reasonable regulations made or of orders or directions given by the Principal the Principal may determine your employment forthwith without notice or without payment in lieu of notice and you will be entitled only to the apportioned part of the remuneration due to you up to the date of such determination and for this purpose and other necessary purposes your remuneration shall be deemed to accrue from day to day. Grievance procedure 36 If you have any grievance relating to your employment you should raise the matter with the Practice Manager. You may be required to put any such grievance in writing. 37 The Practice Manager will consider your grievance and will then notify you of his or her decision.

38 If the decision of the Practice Manager is not acceptable you may then refer the matter in writing to the Principalwhose decision will be final and binding. Disciplinary procedures 39 Once you have completed one year s service any disciplinary matter will be dealt with by following the practice disciplinary procedure Confidentiality 40 You may not disclose either during or after the termination of your employment any information of a confidential nature relating to patients of the practice or the business affairs of the practice unless expressly authorised by the Principal. You must abide by the practice Confidentiality Policy. 41 You may not disclose any other information of a confidential nature in respect of which the Principal owes an obligation of confidence to any third party during your employment except in the proper course of your employment or at all after the termination of your employment. Equal opportunities 42 All employees must follow the practice s Equal Opportunities Policy. Time off for domestic emergencies 43 The practice will provide reasonable time off with pay to deal with family emergencies. Requests should be made to The Practice Manager. Medical treatment 44 Appointments for visiting the doctor or hospital should as far as possible be made outside working hours. Where an appointment can only be made within working hours, permission must be obtained from The Practice Manager. Jury or witness service 45 If you are required to attend for jury or witness service you must provide written evidence from the court and keep the management informed during the duration of your absence. You should claim the allowance set by the court and the practice will make up the additional loss of pay resulting from such service. Maternity 46 An employee who is pregnant has the right to time off with pay for antenatal care. This includes appointments with the GP or hospital and parent craft classes. An employee who stops work to have a baby has the right to a period of maternity leave. There are certain provisions concerning payment, time off and returning to work which the practice will discuss with you. Parental and family leave 47 Employees with at least one year s continuous service are entitled to unpaid parental leave if having or adopting a baby. Further information is available from The Practice Manager.

Trade union membership 48 It is recognised that eligible employees are free to join or not to join a trade union. Immunisation 49 It is a condition of your employment that you are immunised against Hepatitis B in accordance with guidelines issued by the Department of Health. Charges, where incurred, will be met by the practice. Equal opportunities 50 You are required to abide by the practice s equal opportunities policy. Arrangements on termination 51(a) For the purpose of protecting the goodwill of the practice on your ceasing (for whatever reason) to be an Assistant in the practice you will not (i) for a period of one year from the date of ceasing as aforesaid carry on practice as a general dental practitioner at premises situated within a radius of 1 mile from The Liverpool Dental Spa whether as principal, associate, assistant, provider or performer in general practice in the Personal Dental Services, locum tenens or deputy save that this restriction shall not prevent you from being a salaried hospital officer or an officer in the community dental services or Trust-based Personal Dental Services practicing in any location or area (ii) for a period of one year from the date of you ceasing as aforesaid within a radius of 1 mile from Capital Dental/Serena Dental and whether as principal, associate, assistant, locum tenens, salaried general dental practitioner, provider or performer in general practice in the Personal Dental Services, or deputy provide any professional service of a kind normally provided by a general dental practitioner to any person for the time being ordinarily resident within such area who was at the date of you so ceasing or who had been at any time within the period of twelve months prior to you so ceasing a patient of the practice (whether as a private patient or a patient being treated under NHS arrangements) (iii) for a period of one year from the date of ceasing as aforesaid solicit in any manner any person who was at the date of so ceasing a patient of the practice to the intent that such person should transfer to your National Health Service list or otherwise become a patient of yours as a general dental practitioner or of any practice of general dental practitioners in which you are a partner, provider or performer in general practice in the Personal Dental Services, associate, assistant, locum tenens or deputy. (b) In this clause a patient of the practice shall include any person who is at the time in question on the National Health Service list or a private patient of the Principal or of any associate of the practice. (c) It is hereby expressly agreed and declared that each of paragraphs (a) and (b) above contains and constitutes a separate obligation which is intended to be enforceable independently of the others of them (and without prejudice to the severability of provisions contained within each such paragraph).

Changes to your terms of employment 52 The Principal reserves the right to make reasonable changes to any of the terms and conditions of your employment. 53 You will be notified of minor changes of detail by way of a general notice to all employees and any such changes take effect from the date of the notice. 54 You will be given not less than one month s written notice of any significant changes which may be given by way of an individual notice or a general notice to all employees. Such changes will be deemed to be accepted unless you notify the Principal of any objection in writing before the expiry of the notice period.
