Ladies and Gentlemen: Pursuant to Section 4 of the Natural Gas Act (NGA) and Part 154 of the Federal Energy Regulatory Commissions (Commission or FERC) regulations thereunder, Transcontinental Gas Pipe Line Company, LLC (Transco) hereby submits for filing with the Commission Version 5.0.0 of Part I, Section 1, Table of Contents; Version 0.0.0 of Part II, Section13, Summary of Negotiated Commodity Rates; and Version 0.0.0 of Part II, Sections 13.1 and 13.2 to its FERC Gas Tariff, Fifth Revised Volume No.1 (Tariff). The revised tariff sections are proposed to be effective June 9, 2011. Statement of Nature, Reasons and Basis The purpose of this filing is to add a new tariff section 13 to Part II of Transcos Tariff, which section will contain summaries of any negotiated commodity rate agreements entered into by Transco,1 and to submit two tariff records to be included in the new section reflecting two negotiated commodity rate agreements between Transco and a replacement shipper that acquired capacity released on a temporary basis, Hess Corporation (Hess). Southern Company Services, Inc. (Southern Company) temporarily released capacity (in two portions) to Hess that is subject to a negotiated rate service agreement under Rate Schedule FT for firm transportation service under Transcos Momentum Expansion Project
Transco submits this section pursuant to the Commissions policy that pipelines implement negotiated rate transactions by filing either the negotiated rate agreement itself or a tariff sheet describing the agreement. Nor Am Gas Transmission Co., 77 FERC 61,011, at 61,037 (1996).

(Momentum).2 The temporary release of capacity from Southern Company to Hess, effective May 1, 2011 through October 31, 2012, facilitates an asset management arrangement between the two companies. On June 9, 2011, Hess requested that Transco apply to Hess replacement service agreements the same negotiated commodity rate that applies to the firm transportation service for Southern Company under Momentum. In accordance with the Commissions policy that pipelines decide on a case-by-case basis whether a negotiated usage charge applies to an asset manager replacement shipper,3 Transco has determined that Hess is similarly situated to Southern Company and therefore is eligible to receive the negotiated commodity rate under its replacement service agreements. On June 20, 2011, Transco and Hess executed amendments to the replacement service agreements to include the negotiated commodity rate on Exhibit C effective June 9, 2011 subject to Transcos receipt of necessary authorization from the Commission. Accordingly, pursuant to the Commissions Alternative Rate Policy Statement and the provisions of Transco's Rate Schedule FT that permit Transco to negotiate rates,4 Transco submits herewith for filing with the Commission the tariff sections reflecting summaries of the negotiated rate agreements between Transco and Hess. The summaries include the exact legal name of the customer, the applicable charge, the applicable rate schedule for the service, the receipt and delivery points, the quantity of gas to be transported under the service agreements and the term of the negotiated rate. Transco affirms that Hess service agreements do not deviate in any material aspect from the Rate Schedule FT form of service agreement in Transcos FERC Gas Tariff. Due to the timing of the capacity release transaction and the need to execute negotiated rate agreements with Hess, Transco was unable to file the tariff sections submitted herewith prior to the effective date of the negotiated commodity rate agreements. However, Transco is submitting the required tariff sections as soon as reasonably practicable following the execution of the negotiated rate agreements. The Commission recently has found, under similar circumstances, that this approach is preferable to delaying the implementation of a capacity release transaction.5

Effective Date and Waivers The revised tariff sections submitted herein are proposed to be effective June 9, 2011, the date that Hess requested that Transco apply the negotiated commodity rate under Momentum to its replacement service agreements. Consistent with Texas Eastern,6 Transco respectfully requests a waiver of Section 154.207 of the Commissions regulations and any other waivers that may be required for the Commission to permit the tariff sections filed herein to become effective June 9, 2011. Ladies and Gentlemen: Pursuant to Section 4 of the Natural Gas Act (NGA) and Part 154 of the Federal Energy Regulatory Commissions (Commission or FERC) regulations thereunder, Transcontinental Gas Pipe Line Company, LLC (Transco) hereby submits for filing with the Commission Version 5.0.0 of Part I, Section 1, Table of Contents; Version 0.0.0 of Part II, Section13, Summary of Negotiated Commodity Rates; and Version 0.0.0 of Part II, Sections 13.1 and 13.2 to its FERC Gas Tariff, Fifth Revised Volume No.1 (Tariff). The revised tariff sections are proposed to be effective June 9, 2011. Statement of Nature, Reasons and Basis The purpose of this filing is to add a new tariff section 13 to Part II of Transcos Tariff, which section will contain summaries of any negotiated commodity rate agreements entered into by Transco,1 and to submit two tariff records to be included in the new section reflecting two negotiated commodity rate agreements between Transco and a replacement shipper that acquired capacity released on a temporary basis, Hess Corporation (Hess). Southern Company Services, Inc. (Southern Company) temporarily released capacity (in two portions) to Hess that is subject to a negotiated rate service agreement under Rate Schedule FT for firm transportation service under Transcos Momentum Expansion Project
Transco submits this section pursuant to the Commissions policy that pipelines implement negotiated rate transactions by filing either the negotiated rate agreement itself or a tariff sheet describing the agreement. Nor Am Gas Transmission Co., 77 FERC 61,011, at 61,037 (1996).

(Momentum).2 The temporary release of capacity from Southern Company to Hess, effective May 1, 2011 through October 31, 2012, facilitates an asset management arrangement between the two companies. On June 9, 2011, Hess requested that Transco apply to Hess replacement service agreements the same negotiated commodity rate that applies to the firm transportation service for Southern Company under Momentum. In accordance with the Commissions policy that pipelines decide on a case-by-case basis whether a negotiated usage charge applies to an asset manager replacement shipper,3 Transco has determined that Hess is similarly situated to Southern Company and therefore is eligible to receive the negotiated commodity rate under its replacement service agreements. On June 20, 2011, Transco and Hess executed amendments to the replacement service agreements to include the negotiated commodity rate on Exhibit C effective June 9, 2011 subject to Transcos receipt of necessary authorization from the Commission. Accordingly, pursuant to the Commissions Alternative Rate Policy Statement and the provisions of Transco's Rate Schedule FT that permit Transco to negotiate rates,4 Transco submits herewith for filing with the Commission the tariff sections reflecting summaries of the negotiated rate agreements between Transco and Hess. The summaries include the exact legal name of the customer, the applicable charge, the applicable rate schedule for the service, the receipt and delivery points, the quantity of gas to be transported under the service agreements and the term of the negotiated rate. Transco affirms that Hess service agreements do not deviate in any material aspect from the Rate Schedule FT form of service agreement in Transcos FERC Gas Tariff. Due to the timing of the capacity release transaction and the need to execute negotiated rate agreements with Hess, Transco was unable to file the tariff sections submitted herewith prior to the effective date of the negotiated commodity rate agreements. However, Transco is submitting the required tariff sections as soon as reasonably practicable following the execution of the negotiated rate agreements. The Commission recently has found, under similar circumstances, that this approach is preferable to delaying the implementation of a capacity release transaction.5
