The court may alter a companys constitution, if it is satisfied that an application made by either a director or shareholder justifies this. A court-imposed alteration to a constitution must be lodged with the Registrar at the Companies Office within 10 working days of the change.
Cautionary notes
y A provision in a constitution will have no effect if it contravenes or is inconsistent with the COMPANIES ACT 1993. It may therefore be advisable to obtain legal advice to ensure that the proposed constitution is compatible with the Act.
