ContractorservicesshallcommenceonoraboutSeptember19,2011.COMPENSATION: Infullandcomplete considerationfortheservicestoberenderedhereunder,Contractorshallbecompensatedthesumof$TOTAL FORdayworkedduringthetermandwillbeworkingasanindependentcontractor.

4)SERVICES:Duringthisengagement,Contractorwillrenderservicesinacompetent,conscientious,and professionalmanner.TheProducershallhavenoobligationtoactuallyutilizetheContractorsservices,ortoincludeany ofContractorsworkinthefinishedProject,ortoproduce,release,orcontinuethedistributionoftheProject.Contractor willcomplywithallstateandfederallawswhileworkingonthisjob. Initial:____ 5)RECOVERABLES:EachContractorshallberesponsibleforallrecoverableitems,whichmustbeinventoried andaccountedforattheendofPrincipalPhotography.Theseitemsshouldbeorganized,boxed,andreturnedtothestore fromwhichtheywerebought.CreditreceiptsforallreturnsaretobereturnedtotheProducer. 6)KIT:Allspecialtoolsand/orequipmentthattheContractorbringstothejobaretheresponsibilityofthe Contractor.Producerassumesnoresponsibilityforlossordamageunlesslossand/ordamageisduetoProducer's negligence.. 7)RIGHTS:AllresultsandproceedsofContractorsserviceshereundershallconstitute"aworkmadeforhire" forProducer,andProducershallbeconsideredtheauthorthereofforallpurposesandtheownerthroughouttheworldof alltherightstherein.ProducershallhavetherighttouseandlicensetheuseoftheContractorsname,photograph, likeness,voiceand/orbiographyinconnectionwiththeProjectandtheadvertising,publicizing,exhibitionand/orother exploitationthereof,including,withoutlimitation,inconnectionwith"behindthescenes"and"makingof"filmsand featurettes.Contractorhasnorightstousinganyimagesshotforanyreasonincludingcontractorsreels. 8)CONFIDENTIALITY:ContractorshallnotdivulgeanyinformationorpublicityabouttheProject,theProject's budget,orProducertoanythirdparty. 9)ASSIGNMENT:Producermayassignitsrightshereundertoanyperson,firm,orcorporation. 10)CONTRACTORSREMEDIES:ContractorrecognizesthatintheeventofabreachbyProducerofits obligationsunderthisAgreement(including,withoutlimitation,breachesoftheAgreementarisingoutofcredit obligations),thedamage(ifany)causedtotheContractortherebyisnotirreparableorsufficienttoentitleContractorto injunctiveorotherequitablerelief.ContractorthereforeagreesthatContractorsrightsandremediesshallbelimitedto theright,ifany,toobtaindamagesatlaw,andthattheContractorshallnothavetherightinsucheventtoterminateor rescindthisAgreementortoenjoinorrestrainthedistributionorexhibitionoftheProject.Neithertheexpirationofthis Agreement,noranyotherterminationthereofshallaffecttheownershipbyProduceroftheresultsandproceedsofthe servicessuppliedbyContractor,oranyotherrightsgrantedhereintoProducer,oralteranyoftherightsandprivilegesof Producer,oranywarrantyorundertakingonthepartofContractorinconnectionwithsuchresultsandproceeds. 11)CREDIT:CreditmaybeaccordedtoContractordependingontheProject.Alldecisionswithrespecttocredit, includingwithoutlimitationtheposition,size,prominence,style,placementandformofanyandallcreditsshallbe determinedbytheproducerinitssolediscretion.NofailurebyCompanyoritsassigneesorlicenseestocomplywiththe creditrequirementshereofshallbedeemedabreachofthisAgreement,subjecttodistributors'customaryexceptionsand exclusions. _____________________________________________ (PrintName) 12)AGREEMENT:ThisDealMemoconstitutesthefullagreementbetweenbothpartiesunlessamendedtothe contraryinwritingandsignedbybothparties. 13)MISCELLANEOUS:ThisAgreementshallbedeemedtobemadeinNorthCarolinaandshallbeconstruedin accordancewiththelawsofNorthCarolinaapplicabletocontactsmadeandperformedtherein.Notwithstandingany otherprovisionofthisAgreement,ContractorssoleremedyforbreachbyProducerofanyprovisionsofthisAgreement shallbetherighttopursueanactionatlawfordamages.InnoeventshallContractorseekorbeentitledtorecision,orto injunctiveorotherequitablerelief,andtheterminationofthisengagementorthisAgreementforanyreasonshallnot affecttheProducer'srighttotheresultandproceedsofContractorsserviceshereunder.Producershallhavetherightto assignthisAgreementtoanypersonorentity,andthebenefitsofthisAgreementshallinuretoanysuchassignee. Contractorshall,uponrequest,execute,acknowledgeanddelivertoProducersuchadditionaldocumentsasProducermay deemnecessarytoevidenceandeffectuateProducer'srightshereunder.ContractorherebygrantsProducertheright,as attorneyinfact,toexecute,acknowledgeandrecordanyandallsuchdocuments.
