SUBJECT: APPOINTMENT AS "ASSISTANT MANAGER BUSINESS DEVELOPMENT"

Dear Mr. Deepak Singh

Further to your interview, SEA WINGS INTERNATIONAL LIMITED-CORPORATE is pleased to offer you employment as " ASSISTANT MANAGER BUSINESS DEVELOPMENT" in grade "A2" subject to fulfilling the following terms and conditions:

DATE OF APPOINTMENT: Your appointment is effective from 30/June/2008. PROBATION: You will be on a probation for a period of "Six Months" from the date of your appointment. The probation period can be extended at the sole discretion of the Company if your performance is not found satisfactory. During the probation period, your services may be terminated by giving Fifteen Days (15 days) notice, without giving any reasons whatsoever. 03. COMPENSATION PACKAGE: Basic Salary: Rs. 73128/-P.M. (RUPEES SEVENTY THREE THOUSAND ONE HUNDRED TWENTY-EIGHT ONLY) of Fixed Salary as per the Annexure A (Compensation Package). In addition, you shall also be entitled to: - House Rent Allowance "@50%" of your Basic Salary

- Medical Allowance and other benefits as per the Comapany policy Please Note that you are expected to keep the salary package strictly confidential and not to share information regarding the salary with any one except your very close family members. LEAVES: You will be entitled to leave benefits as per the Company policy.

You will also be entitled to the following: Bonus in accordance with the Bonus Act or as declared by the Company. However, the maximum limit is 20% of your Basic salary. Leave Travel Assistance as per company policy. This will be applicable on the basic salary. GRATUITY: Gratuity will be paid as per the Gratuity Act/Rules. PROVIDENT FUND/ESIC: You will be entitled to provident Fund & ESI as and if applicable within the framework of the PF & ESIC rules. MAINTENANCE OF SECRECY: Employee agrees, during or after the term of this employment, not to reveal confidential information, or trade secrets to any person, firm, corporation, or entity. Should Employee reveal or threaten to reveal this information, the Company shall be entitled to an injunction restraining the Employee from disclosing same, or from rendering any services to any entity to whom said information has been or is threatened to be disclosed, the right to secure an injunction is not exclusive, and the Company may pursue any other remedies it has against the Employee for a breach or threatened breach of this condition, including the recovery of damages from the employee.

CONFLICT OF INTERESTS: The Employee will devote full time, attention, and energies to the business of the Company, and, during this employment, will not engage in any other business activity, regardless of whether such activity is pursued for profit, gain, or other pecuniary advantage. Employee is not prohibited from making personal investments in any other businesses provided those investments do not require active involvement in the operation of said companies. PROTECTION OF INTERESTS: During your tenure of service if any new systems and/or new processes, methods or innovative ideas are developed by you to bring out improved performance and benefits to the organization, the same will be duly communicated by you to the Company and such new systems/method/processes/innovative ideas shall be the exclusive property/proprietary of the company and you will have no proprietary rights on such development merely because you as an employee of the company have developed the same.

TRANSFER: During your period of service with us you are liable to be transferred from time to time, in such capacity as

the company may deem fit, to any of our sites including our sites abroad i.e foreign destination. On such transfers, besides being governed by the Terms and Conditions of this letter of appointment, you shall be governed by the services rules/conditions of our new site/s. Should Company depute you at its site at foreign destination, you will be entitled to all the benefits as per the Company policy.

TRAVEL: In case your position requires travel from time to time, outside your normal place of work, you shall undertake such travel. In this regard you will be governed by the company's travel rules and regulations. You are required to obtain your passport at your own cost and intimate to the Company. You will be responsible for the safe keeping and return in good condition and order of all properties of the company, which may be in your use, custody, care or charge. For the loss of any property of the

RESPONSIBILITIES AND DUTIES: -You will perform such duties as is in line with the position for which you have been appointed for and will render yourself accountable and responsible for such duties or for any other duties that you may be assigned to from time to time. You will, however, ensure that the duties that you perform are within the overall Rules and Regulations of the Company, for the time being in force, and as amended from time to time. Ignorance or self-interpretation of the Rules and Regulations is no excuse to escape accountability and responsibility. -You will be responsible for the safe keeping and return in good condition and order of all properties of the company, which may be in your use, custody, care or charge. For the loss of any property of the company in your possession, company in your possession, the company will have a right to assess on its own basis and recover the damages of all such materials from you and to take such other action as it deems proper in the event of your failure to account for such material or property to its satisfaction. CONCEALMENT AND MIS-INTERPRETATION OF MATERIAL FACTS: It is presumed that the facts furnished by you through your BIO-DATA and subsequently detailed by you on our official application form are free from any ambiguity and that you have not concealed or misinterpreted any material facts on the basis of which you were interviewed and subsequently selected for the position for which this Letter of Appointment is being issued. Any willful and/or intentional suppression of material facts and/or false information will render your appointment void ab initio and you will make yourself liable for removal from the services of the Company without assigning reasons whatsoever. All consequential damages that are a result of concealment/misinterpretation/falsification of information will be to your account.

SALARY REVIEW: Your salary review will be done based on your performance during the year. Your first annual review will be after one year from the date of your appointment. RETIREMENT : The retirement age is 60 (Sixty) years. However, you may be retired earlier on account of in capacitance/senility or if found medically unfit by a qualified doctor.

TERMINATION OF AGREEMENT:

Your services can be terminated: - during probationary period, by giving Fifteen Days (15 days) notice, in writing, by either side without assigning any reasons, or by giving Fifteen Days (15 days) basic salary in lieu thereof. - after confirmation, by giving Thirty Days (30 days) notice, in writing, by either party without assigning any reasons, or on payment of Thirty Days (30 days) basic salary in lieu thereof without assigning any reason. - on retirement as contained in Clause 16 above.

GENERAL: -You will intimate in writing to the management any change of address within a week from change of the same, failing which, any communication sent on your last recorded address shall be deemed to have been served on you. -You will hand over the charge of letter of authority or power of attorney issued to you or any property/ material of the company in your possession at the time of cessation of your employment with the company. -The Company's rights and obligations under this Agreement will inure to the benefits and be binding upon the Company's successors and assignees. Should Company waive breach of any provisions of this Agreement by the Employee, that waiver will not operate or to be construed as a waiver of further breach by the Employee.

ASSISTANCE IN LITIGATION: Employee shall upon reasonable notice, furnish such information and proper assistance to the Company as it may reasonably require in connection with any litigation in which it is, or may become, a party either during or after employment. In case of any dispute arising out of the terms of employment, the decision of the management shall be final without appeal and the jurisdiction shall be within the state of Delhi only. On termination of employment, you will immediately handover to the Company: - all correspondence and related files, - specifications relating to materials and/or workmanship, - all relevant drawings and documents, - books and technical literature, - market and cost data, - other relevant records, and - tools and tackles, visiting cards, laptop, datacard, pendrive, CD's, calculator, non-consumable stationary, brief case, office keys and/or any other items that may have been issued to you as a part of office/job requirements. The above terms and conditions are as per present company policies. The terms and conditions may be reviewed / amended and / or repealed at the discretion of the Management and the company's interpretation of the terms and conditions shall be final and binding on you.
