APPOINTMENT LETTER
Dear Mr.Singh As was communicated to you during our discussions, we value COMPETENCE, PERFORMANCE, DISCIPLINE AND INTEGRITY and we work in an atmosphere of trust and understanding with our employees. We welcome you in our Company and take pleasure in offering you an appointment with the Company on the following terms and conditions: 1. POSITION / DESIGNATION You are being appointed as HR / ADMN. EXECUTIVE However, in the best interests of the Company or any of its constituent Companies; we may utilize your ability and experience in any field/function and appoint you at any position and designation. 2. IMMEDIATE POSTING AND FUTURE TRANSFERS At present we are posting you at NOIDA. It is understood and agreed that your services, based on the nature of job/business requirements, are liable to be transferred to any of our other Offices/Units/Companies/Associate Companies which may be located at different places other than your place of appointment, which are already in existence or planned in future, in India or abroad, at the sole discretion of the Management.

PROBATION You shall be on probation, initially for a period of six months from the date of joining, which may be extended up to another period of six months at the sole discretion of the company.

CONFIRMATION After successful completion of your probation period, you may be considered for confirmation as regular employee by the Company. However, it is made clear that you shall not be automatically confirmed as a regular employee on satisfactory completion of your probationary period by the Company and shall deemed to be confirmed only when you are intimated in writing about the confirmation of your services.

GENERAL RULES AND REGULATIONS You shall be governed by various rules and regulations/services conditions / code of conduct framed by the company from time to time. Existing General Rules & Regulations forming integral part of this offer of Appointment is enclosed as Annexure 1. You shall adhere to any change in the General Rules and Regulation Pertaining to the Company which may be subject to modification, alteration, variation and amendment from time to time.

DOCUMENTS ON JOINING You shall submit attested copies of certificates showing your age/date of birth, academic and professional qualifications, experience certificates and three recent passport size photographs, if not submitted at the time of selection.

AGE OF RETIREMENT/SUPERANNUATION The age of superannuation will be 58(Fifty Eight) years and the actual date of superannuation shall be the last working day of the calendar month in which your 58th birthday falls. However, this is subject to your remaining medically fit to continue to perform your duties before superannuation date.

TERMINATION OF EMPLOYMENT/SERVICE During probation or extended probation, no notice period by either side is required. However, on confirmation of service in writing, the required notice period for termination of service by either side shall be one month or salary in lieu thereof. The Management reserve the right to deduct notice period salary, if due, from the dues to which the employee shall be eligible to on such termination of employment contract. If, you shall, at any time be found guilty of misconduct or commit any breach of this contract of employment or refuse or willfully neglect to perform your duties, to the satisfaction of the Company or any of the sister/group companies in connection with whose business you may be engaged, all or any of the duties devolving upon you under this contract of employment, the Company may, after giving you a Notice of Warning, terminate the contract of your employment immediately and without the one month notice, solely at your cost, risk and responsibility.

In case of any criminal proceedings are initiated against you in any court of law, the Management reserves absolute exclusive right to terminate your services immediately, without serving upon you the required one month notice period. In the event that you opt/decide to terminate your services with the Company without giving the required one month notice or proceed on leave without such notice, you shall compensate the Company by way of your one month total salary. Further, in the event that the Company terminates your service without giving you the required one month notice, except for the reasons stated hereinabove, the Company shall compensate you by way of one month total salary in lieu thereof. In case of resignation/termination the employee will hand over the charge to the person authorized by appointing authority and also obtain No Dues Clearance from all the departments which shall be submitted to the appointing authority/authorized person. Thereafter the relieving letter will be issued to the employee. On termination or resignation of/from your service, as the case may be, you shall not take employment or be gainfully employed, as an employee or as a consultant, with any other firm, company, concern or organization dealing with or in the same business as the Company for a period of minimum one year, failing which, we reserve the right to take legal action against you at the appropriate legal forum and any such act on your behalf shall amount to breach of trust and breach of confidentiality clause in Annexure -1 for which you shall be liable for criminal proceedings under appropriate sections of Indian Laws.

ANNEXURE - 1 GENERAL RULES AND REGULATIONS PERTAINING TO THE COMPANY

You shall not, during the continuance of your employment with us, be engaged, concerned or interested directly or indirectly, in any other occupation, business or employment whatsoever, whether honorary or remuneratory, without the consent in writing of the company. You shall devote your time, attention and abilities exclusively to the performance of your duties hereunder and shall in all respects obey and conform to the Companys orders and regulations, as well as faithfully serve the Company and use your best endeavours to promote the interest thereof, and of the business in which you shall for the time being be engaged in connection with the business of any of the Group/sister companies, and shall at all times readily obey and execute all lawful orders which may be issued to you by such sister/Group Company. You shall not, either during the continuance of your employment or at any point of time thereafter discuss, divulge or communicate by word of mouth or otherwise to any person or persons whatsoever, any information of secret or confidential nature entrusted to you or coming to your knowledge, relating to trade or business of the Company or of any Group/sister concern or any of its customers or about the method, process, appliance, machinery or plant used by them, or any of them, or any experiments made by them, or any of them or by any persons in their employ, or relating to the prices paid or charged by, or the customers of the company or its sister companies, or administrative/organizational matter pertaining to the company which may be your personal privilege to know by virtue of being in employment with the Company or any such other information the disclosure of which, in the opinion of the company, is likely to be prejudicial to the interests of the Company. You shall neither take employment nor engage directly/indirectly with any individual, group or company nor shall engage yourself into any business/trade of your own in any form having business interests in the same and/or similar products, areas and activities for a period of one year from the date of leaving our Company. You, during the continuance of your employment with the Company, are precluded from entering/indulging into activities, which in the opinion of the Company either constitute or could result in an actual or potential conflict of interest with your employment with the Company, until and unless prior permission in writing to engage in such activity or activities has been granted to you by the Company. Your appointment is subject to your not being a partner or relative of a Director of the Company within the meaning of Section 314 of the Indian Companies Act, 1956. You are advised to submit a written declaration to this effect.

If, you shall at any time be guilty of misconduct or commit any breach of this contract of employment or refuse or willfully neglect to perform, to the satisfaction of the company or any of the sister/group companies in connection with whose business you may be engaged, all or any of the duties devolving upon you under this contract of employment, the Company may, after a Notice of Warning, terminate the contract of your employment, solely at your cost, risk and responsibility. 6.2 That the Company reserves its right to terminate your services if, in the opinion of the medical officer of the Company, you have become medically unfit to perform your usual duties or have become mentally/physically incapacitated to continue to perform your duties or you remain in state of continued ill health. 7. You will become a member of the Employees Provident Fund and Miscellaneous Provision Act, 1952, and the Employees Pension Scheme 1995 on the day you will join the company in case you are covered by the above Act. Your probationary appointment, confirmation as well as continued employment in the services of the Company is subject to your being found and remaining in sound physical and mental health as certified by the Companys medical consultant (s), the decision whereof will be final and binding. As and when required, you shall report for any medical examination to a qualified medical consultant(s) as recommended/appointed by the Company. The actual date of retirement/ superannuation shall be the last working day of the calendar month in which your 58th birthday falls.

11. Your date of birth as given by you is 28-10-1987, which has been entered in our records and shall not be altered
at your option hereafter.

12. During the initial or extended period of probation, your services may be terminated at any time without giving you any notice or assigning any reason or compensation whatsoever.

13. Upon confirmation, your contract of employment may be terminated at any time without assigning any reason, on
either side, by giving to the other one month notice in writing or total salary in lieu thereof. Such notice salary where due, may be deducted from the dues to which the employee would be eligible on such termination.

14. Further, if such termination of the contract is initiated by the employee by giving one month

notice, then the Company may, at its sole discretion either accept the resignation of the employee immediately or at any point of time during the notice period of one month, as mentioned in clause No.13 above provided, that the Company may, if it shall so choose, pay to the employee salary in lieu of balance period of his notice.

During your employment with the Company you shall be governed by such Rules, Regulations and Instructions as are now in force, which may be amended, altered or extended from time to time and your acceptance of this offer carries with it your acceptance to obey all such rules, Regulations as applicable to the employees of your category from time to time. 16. You are required to deal with the Companys money, material and documents with utmost honesty and professional ethics. If you are found guilty, at any point of time of moral turpitude or of dishonesty in dealing with the companys money or material or documents or theft of any information or misappropriation regardless of the value involved, your services would be terminated with immediate effect notwithstanding other terms and conditions mentioned in the appointment letter and in such an event you will not be entitled to any notice / notice pay. 17. As per requirement, the Company may provide / arrange free accommodation, credit cards, club membership, vehicles etc. which are Companys property and should be returned immediately to the Company by the employee in case of resignation / termination before his relieving or on demand by the company. 18. it is mandatory obligation on the part of employee to communicate to the employer of any change in their residential address, mobile/ telephone numbers otherwise the last recorded address shall be treated as their address for sending any communication. 19. That during your employment with the Company, you will maintain utmost discipline and good behaviour and conduct while dealing with your subordinates, colleagues, superiors, customers, business associates and others connected with the Company. The Company will seriously view any breach of this clause relating to good behaviour and conduct on your part and any habitual violation on your part may result in your summary dismissal. Disputes, if any, with regard to this employment, shall be referred to sole Arbitration to be appointed by the Company and shall be governed by the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Gautam Budh Nagar , ( U.P.) Acknowledgement: I have read and understood the terms and conditions of this appointment letter alongwith the Annexure 1 and I accept the same. I also agree to adhere to any change in the General Rules and Regulations pertaining to the Company which may be subject to any modification, alteration, variation and amendment from time to time.
