MOBILE WEB SOFTWARE LICENCE AGREEMENT

IMPORTANT-READ CAREFULLY: This Software License Agreement (Agreement) is a legally binding agreement between you (Licensee) and Alice Systems AB (A.S.) with a place of business at Smidesvgen 10-12 2tr, SE-171 41 Solna, Sweden for the Alice Systems product Alice Connect (Software). BY CLICKING YES, INSTALLING, COPYING OR OTHERWISE USING THE SOFTWARE YOU ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT AND ACCEPT THAT A HASHED CODE IS SENT TO A.S. FOR THE LICENSE ACTIVATION OF YOUR COPY OF THE SOFTWARE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT CLICK YES, INSTALL, COPY OR USE THE SOFTWARE. License Grant. A.S. grants Licensee, and Licensee accepts, a nonexclusive license to install and use the Software on a single computer (one central processing unit). The Software is licensed not sold. A separate license and activation is required for each computer on which the Software is installed or used. All copies must bear the copyright notices contained in the master copy. Use Restrictions. () Licensee may not use, distribute, transfer or i copy the Software except as expressly accepted by the Agreement; (ii) A license for the Software may not be shared or used concurrently on different computers. (iii) Licensee may not copy, rent, lease, modify, translate, reverse engineer, decompile, disassemble or create derivative works based on the Software, except as permitted by mandatory law. Intellectual Property Rights. The Software may from time to time include software licensed to A.S. by a third party (Third Party). Licensee acknowledges: (i) that the Software, including software licensed by a Third Party, is protected by copyright laws and international copyright treaties, and (ii) that any and all intellectual property rights is and shall remain the property of A.S. and the Third Party respectively. Licensee shall not during or at any time after the expiry or termination of this Agreement in any way question or dispute the ownership or any other such rights by A.S. or the Third Party. Limited Warranty and Disclaimer. For a period of sixty (60) days from the date of delivery of the Software, A.S. warrants that the Software shall conform in all material respects to the specifications set forth in the user manual delivered with the Software, provided that the Software is used in accordance with such specifications and that no modifications have been made to the Software without A.S. written consent. A.S. does not warrant that the Software will meet Licensees requirements or that operation of the Software will be uninterrupted or error-free. A.S. sole obligation and liability for breach of this warranty will be to promptly at its sole expense repair or replace the defective copy of the Software so that it is in compliance with the above warranty. A.S. MAKES NO OTHER WARRANTY, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE AND A.S. SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. Limitation of Liability. THE REMEDY PROVIDED ABOVE IS THE LICENSEES SOLE AND EXCLUSIVE REMEDY. IN NO EVENT SHALL A.S. BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, ANY DAMAGES FOR LOSS OF PROFITS, REVENUE OR DATA INCURRED BY LICENSEE OR THIRD PARTIES, WHETHER BASED IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF A.S. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. A.S. CANNOT AND DOES NOT GUARANTEE THAT THE SOFTWARE WILL BE ABLE TO PREVENT EVERY THIRD PARTY ATTEMPT TO GAIN UNAUTHORISED ACCESS TO TRANSMISSIONS WHICH THE SOFTWARE IS DESIGNED TO PROTECT. Indemnification. A.S. shall defend, indemnify and hold Licensee harmless from and against any third party claim of copyright, trademark and trade secret infringement relating to the Licensees authorised use of the Software under this Agreement, provided that Licensee promptly notifies A.S. in writing of such claim and all related settlement negotiations. A.S. will have sole control of such suit (including the right to settle on behalf of Licensee) and Licensee will co-operate fully with A.S. in the defence thereof. A.S. shall have no liability for and Licensee shall indemnify and hold A.S. harmless from and against any claim based upon Licensees: (i) Modification of the Software; (ii) Use of the Software in combination with any product not approved by A.S.; or (iii) Use of the Software in a manner for which it was not designed. Export Requirements. Licensee may not export or re-export the Software or any copy or adaptation in violation of any applicable law or regulation. General. (i) Delay or failure by either party in enforcing any term or condition of the Agreement will not constitute a waiver by that party of its rights or remedies; (ii) If any part of this Agreement is held to be invalid or unenforceable, the validity or enforceability of the remainder will not be affected; (iii) Licensee may not assign any rights or obligations granted under this Agreement without the prior

written consent of A.S.


Term. This Agreement is effective until terminated by either party for whatever reason(s). A.S. has the right to terminate this Agreement immediately if Licensee fails to comply with any material term of this Agreement. Upon termination the Software and all copies of the Software shall immediately be returned to A.S. Information. Governing law, Dispute resolution. This Agreement shall be governed by and construed in accordance with the material provisions of Swedish law and shall be subject to the exclusive jurisdiction of the Swedish courts. Notwithstanding the foregoing A.S. shall not hereby be limited in any way from initiating actions against Licensee, in any court or under any laws, for infringement of intellectual property rights, such as, but not limited to copyright.
