BUYER/BROKER CONFIDENTIALITY AND REGISTRATION AGREEMENT You, (the Registered Buyer or Broker) have advised LOH Realty &

Investments that you wish to obtain information with respect to the potential purchase of a business opportunity at Grand Avenue, Oakland, California (the Property). Martin Chan and LOH Realty & Investments, (collectively LOH) represents the ownership of the Property (Owner). The Owner requires that all inquires and communications with respect to any contemplated sale of the business opportunity shall be directed through LOH. All fees due LOH in connection with the sale of the business opportunity shall be paid by Owner. LOH may provide you with certain information concerning the Property (collectively Informational Materials). LOH will not make such Informational Materials available to you unless and until you have executed this Agreement and thereby agree to be bound by its terms. Upon LOHs receipt of this Agreement, LOH is prepared to provide certain Informational Materials to you for your consideration in connection with the possible purchase of the Property subject to the following conditions: 1. All Informational Materials relating to the Property which are furnished to you by LOH shall continue to be the property of the Owner and LOH. The Informational Materials may not be copied or duplicated without LOHs written consent and must be returned to LOH immediately upon LOHs request or if you decline to make an offer for the Property or terminate any discussions or negotiations with respect to the Property. 2. The Registered Buyer or Broker will not make any Informational Materials available to, disclose any of the contents thereof, or discuss any transaction or lease involving the Property with any person other than LOH or the Owner unless LOH or the Owner has approved in writing such disclosure or discussion. The Information Materials may be disclosed to Registered Buyer/Brokers partners, employees, legal counsel and institutional lenders (Related Parties) who, in the Registered Buyer/Brokers judgment, need to know such information for the purposed of evaluating the potential purchase of the Property or any interest therein by the Registered Buyer/Broker. Such Related Parties shall be informed by the Registered Buyer of the confidential nature of the Informational Materials and must agree to keep all Informational Materials strictly confidential in accordance with the Agreement. The Registered Buyer/Broker shall be responsible for any violation of this provision by any Related Party. Furthermore, you are strictly prohibited from contacting anyone at the Property or any other party without the prior written consent of the Owner or LOH. 3. You understand and acknowledge that LOH and the Owner do not make any representation or warranty as to the accuracy or completeness of the Informational Materials. You agree that neither LOH nor the Owner shall have any liability for any reason to you or to Related Parties resulting from the use of the Informational Materials.

4. You acknowledge that the Property has been offered for sale subject to withdrawal from the market, change in offering price, prior sale or rejection of any offer in the sole discretion of the Owner for any reason whatsoever, without notice. 5. The Registered Buyer/Broker hereby indemnifies and saves harmless LOH, the Owner and its respective affiliates and successors and assigns against and from any claim, loss, liability and/or expense (including without limitation, attorneys fees/costs) arising out of any breach of any of the terms of this Agreement by the Registered Buyer/Broker and/or any Related Party or claims by any other broker, finder or other party if such claim or claims are based in whole or in party on dealings with the Registered Buyer/Broker, any Related Party or any of their representatives for commissions, fees and other compensation for the sale or proposed sale of the Property to the Registered Buyer/Broker. 6. It is the intent of the Owner to sell the subject Property AS-IS with all vices, faults and defects. Any Registered Buyer/Broker is expected to inspect the Property and rely upon its own inspection reports and experts in determining the condition of the building(s) and the Property. 7. Any Registered Buyer submitting an offer to purchase the Property must execute a standard CAR Disclosure Regarding Real Estate Agency Relationships and acknowledge that LOH is the Sellers agent only and the Registered Buyer is not relying on any agency relationship with LOH in any dealings with Registered Buyer and the Property.
