DIT: DCG: RFP - 1/2009. Date: 16 March, 2009 SUB: REQUEST FOR PROPOSAL (RFP) FOR MOBILE PAYMENT SOLUTION. Canara Bank a premium Indian Public Sector Bank having more than 2700 Branches wishes to procure the subject solution for providing mobile payment facility to its customers. We invite sealed offers (Technical and Commercial) for supply, installation, and commissioning of Mobile Payment Solution for its Branches and customers. The Interested Vendors who are dealing in Supply, Installation, Commissioning, and Maintenance of Mobile Payment Solution and meeting the following qualifying requirements may respond: 1. The bidder shall be the owner / certified or authorised agent / reseller / partner of the solution offered. 2. The bidder is registered as a company in India as per Company Act 1956. The Certificate of Incorporation and Certificate of Commencement of Business issued by the Registrar of Companies is to be provided in support of this. 3. The Company should have supplied and implemented the similar project as incorporated in Scope of the Project, in any one scheduled Commercial Banks during the last two years and the product should be compatible with the guidelines as given in Annexure I. 4. The Company should be in existence for a minimum period of two years. 5. The Company should be in this line of activity during the last two years. 6. The vendor should confirm that the software solution offered would be capable of integrating with Core Banking Solution running in the Bank viz. Flexcube from M/s Oracle Financials Services Software Ltd (Formerly Iflex Solutions Pvt. Ltd.) e ither directly or through the Banks Core Banking vendor viz. M/s IBM India Ltd. The vendor is required to provide the interface of their software with Banks ATM Switch Software viz. Base24.

Vendors bidding for the RFP should enclose relevant documents as proof in support of above -mentioned criteria. Proposals of vendors who do not fulfill the above criteria or who fail to submit proof would be rejected without any further communication. Please note the following instructions and our terms & conditions while quoting for the solution. A. Instructions. 1. Two Bid System Offer There should be two separate offers (Technical and Commercial). Both the offers must be submitted at the same time, the envelopes containing Technical Offer and Price Offer should be separately sealed and placed in another sealed envelope. The offer/s should be deposited in the Tender Box kept at first floor, Naveen Complex, Delivery Channel Group, Department of IT, 14 M G Road, Bangalore 560 001, on or before 16 April 2009, 2:00 PM. The offer/s which is/are deposited after the said date and time shall not be considered. If the due date happens / declared as a public holiday, the due date for submission will be next immediate working day of the Bank.

The Technical Offers will be opened on the offer due date at 3:30 PM at the conference Hall, II nd Floor, Naveen Complex, 14 M.G Road, Bangalore -560 001. vendor's representative may be presen t here well in time along with an authorization letter, as per the format (Annexure B) enclosed. Representatives without authorization letter will not be permitted to attend the meeting. All the envelopes must be super-scribed with the following info rmation: 1 Type of Offer (Technical or Commercial) 2 Tender Reference Number (Bank Tender Reference No) and Tender date. 3 Due Date 4 Name of the Vendor with address. ENVELOPE I (Technical Offer): 1 Copy The Technical Offer should be complete in all respects and contain all information asked for, as per Annexure except prices. The technical offer should not contain any price information. The Technical offer should be complete to indicate that all products and services asked for are quoted. EMD should in variably accompany the original Technical Offer being submitted to the Bank. One softcopy to be submitted in pendrive. ENVELOPE II (Commercial Offer): 1 copy The Commercial Offer (C.O) should give all relevant price information. It may be noted that if any envelope is found to contain both Technical and Commercial Offer, such offer will be rejected. binding on all the vendors. These terms and conditions will form part of the purchase order. 4. Offer Validity Period The Offer submitted by the vendor should be valid till 16/09/2009. 5. Country: India. Phone No: 91 80 2558 2516 Fax : 91 80 25596539 6. Proposal Ownership The proposal and all supporting documentation submitted by the vendor shall become the property of the Bank. 7. Modifications and Withdrawal of Offers No offer can be modified or withdrawn by a vendor after submission of Offers. 8. Pre-bid queries The bidder shall seek clarification, if required, to ensure that they have understood all specifications, terms, condition, requirements, and intent of RFP. Such clarification should be sought in writing before submission of bids. Authorized representatives of interested bidders shall be present during the scheduled time at 3.30 pm on 24.03.2009 at Second Floor, Conference Hall of DIT Wing, Naveen Complex, 14 M G Road, Bangalore 560 001 along with a letter of authority (Annexure B). The Bank shall clarify the queries during the pre-bid meeting followed by confirmation. No individual consultation shall be entertained. 9. Opening of Technical Offers Technical Offers received within the prescribed closing date and time will be opened in the presence of vendors representatives and the vendors who wish to submit their quote should send their authorized representatives compulsorily for the opening of the Offer on the date and time specified in this tender document. The vendors representatives present shall sign a register of attendance.

10. Preliminary Scrutiny The Bank will scrutinize the offers received to determine whether they are complete and as per tender requirement, whether technical documentation as asked for and r equired to evaluate the offer has been submitted, whether the documents have been properly signed and whether items are offered as per the tender requirements. The Bank may, at its discretion, waive any minor non-conformity or any minor irregularity in the offer. This waiver shall be binding on all the vendors and the Bank reserves the right for such waivers. Offers not meeting the qualification criteria will be rejected. 11. Clarification of Offers To assist in the scrutiny, evaluation and comparison of offers, the Bank may, at its discretion, ask some or all vendors for clarifications on the offer made by them. The request for such clarifications and the vendor response will necessarily be in writing and it should be submitted with in time stipulated by the Bank. 12. No Commitment to Accept Lowest or Any Offer The Bank reserves its right to reject any or all the offers including incomplete offers without assigning any reason thereof whatsoever. The Bank will not be obliged to meet and have discussi ons with any vendor and / or to entertain any representations in this regard. 13. Submission of Technical Details It is mandatory to provide the technical details in the exact format as has been mentioned in Annexure E of this tender. The Offer may not be evaluated and may be rejected by the Bank in case of non-adherence to the format or partial submission of technical information as per the format given in the offer. The Bank shall not allow/permit changes in the technical specifications once it is submitted. Any other relevant technical details the vendor wish to furnish for technical evaluation of the solution to be quoted can be furnished as an attachment to our technical annexure E. 14. Format for Technical Offer The Technical Offer should be made in an organized, structured, and neat manner and should be paginated and should be signed by authorized signatory along with the seal of the company on each page. Brochures / leaflets etc. should not be submitted in loose form. Page 7 of 31

The suggested format for submission of Technical Offer for this RFP is as follows: 1. Index 2. A brief description about the company their Head Office and their office details in India. 3. The Company's two years Audited Balance Sheet. 4. Vendor's Covering letter. This should be as per Annexure A. 5. Masked Bill of Materials as per Annexure D. This table should not contain any price information in Technical Offer. 6.Technical Offer as per Specifications given in Annexure E should be complete with all the columns filled in. 7. Terms and Conditions compliance Table in the following format as under. This table must cover Vendors response to all the terms and conditions specified in the Offer document. Sr.No 1 2 3 8. A detailed list of the other Infrastructure required at site for commissioning and functioning of the solution covering space, ventilation, temperature, power requirement and other safety precautions to be undertaken should be given in detail along with technical quote. 15. Format for Commercial Offer. The Commercial offer must not contradict the Technical Offer in any manner. The suggested format for submission of commercial Offer is as follows: 1. Index 2. Covering Letter 3. Commercial Version of Bill of Materials and Price Schedule (as per Annexure D). This must contain all price information, including AMC details. 4. 16. Erasures or Alterations The Offers containing erasures or alterations will not be considered. There should be no hand-written material, corrections or alterations in the offer. Technical details must be completely filled in. Correct technical information of the product being offered must be filled in. Filling up of the information using terms such as OK, accepted, noted, as given in brochure/manual is not acceptable. The Bank may treat such Offers as not adhering to the tender guidelines and as unacceptable. 17. Costs & Currency The Offer must be made in Indian Rupees only, including the following: 1. Cost of the equipment including all duties and importing cost. 2. Cost of all the hardware like PC, and other softwares and any other miscellaneous items supplied by the vendor for functioning of the solution if any. 3. Minimum of One-year comprehensive on-site warranty covering the entire system /equipment /sub assemblies/labour etc. 4. Transportation and forwarding charges to the site. 5. Installation and commissioning charges, if any. 6. Insurance to cover equipment up to the installation at site and handing it over to the Bank. 7. All applicable Taxes like CST/LST/VAT/Octroi/Entry Tax/Service Tax should not be included in the price of the solution and accessories and these taxes will be paid by the bank in actuals. 18. Price Comparison, Arrival of L1. The Bank will consider Six Year TCO (Total Cost of Ownership) for the purpose of price comparisons to arrive at the lowest offer. Six year TCO = Cost of the solution as per annexure D including Cost of all the hardware items like PC, Servers, optional items etc., and software and any other miscellaneous items supplied by the vendor for functioning of the solution with 12 months warranty (as per cost and currency clause) + Post Warranty comprehensive AMC charges at discounted rate covering all parts of the solution including labour, if any, for 5 years. 19. Short-listing of Vendors. The Bank will prepare a short-list of technically qualifying vendors and the commercial offers of only these vendors will be opened. The Bank will intimate the date and time of opening of Commercial Offers to the vendors whose Offer is technically in line with the tender requirements.

20. Earnest Money Deposit (EMD). An EMD in the form of DD favoring Canara Bank, DIT-Wing, and payable at Bangalore for Rs. 5,00, 000/- (Rupees Five Lakh only) is to be enclosed with Technical offer. Offers made without E.M.D. will be rejected. B. Terms and Conditions. 1. Technical Inspection and Performance Evaluation. The Bank reserves its right to carry out technical inspection and performance evaluation of Mobile Payment solution Offered by the short-listed vendors, as per the discretion of the Bank at the cost of vendor/Bank. Bank reserves the right to select separate and independent vendor for mCommerce and mBanking transaction or single vendor for both the facilities. 2. Delivery & Penalty. Delivery should be within SIX Weeks from the date of receipt of the PO. The date of acceptance of the order will be deemed as date of actual acceptance of the order, or three days from the date of the order if acceptance is made after three days, whichever is earlier. If the item is to be imported, the supplier has to arrange for necessary import license on his own. Time is the e ssence of the contract. The entire work up to the stage of commissioning of systems i.e commencement of processing, shall be completed within Eight Weeks from the 3rd day of acceptance of the order failing which liquidated damage at the rate of 1.00%(One percent) of the contract amount per each completed week of delay or part thereof of the contract value beyond the stipulated period will be levied. The Bank may deduct such damages from any payment due to the supplier. No objection or dispute in this regard will be entertained. Where more than one item is ordered to the location, the delivery should be deemed to be completed only after all the items are delivered to that location. In such case, delivery date will be the date of delivery of the last item delivered to that particular location. 3. Pricing: 3.1) The prices shall be quoted in Indian Rupees Only on CIF basis for delivery at final destination, suitably and securely packed for transportation by air, sea, rail and/or road including multiple handling in India and shall include all duties, and any other terminal charges in the country of manufacture and/or country of shipment, freight till the destination, insurance clearing etc. The above price shall also include charges towards installation, testing and commissioning. Kindly note to quote the Mobile Payment solution without the applicable Taxes in India like CST/LST/VAT/Octroi/Entry Taxes/Service Tax, which Bank will pay in actuals.

3.2) The prices quoted for supply o f equipment shall be deemed to have included all duties, charges for labour, transport, insurance for transit, shipment, packing, freight from the factory to the destination site, handling, clearing, installation, testing and commissioning charges, workmen compensation and third party liability etc till the work is finally handed over to the Bank. Kindly note to quote the Mobile Payment solution without the applicable Taxes in India like CST/LST/VAT/Octroi/Entry Taxes/Service Tax, which Bank will pay in actuals. 3.3) The AMC prices shall be firm and binding without any escalation whatsoever for entire period of contract. However, Bank reserves its right to review the AMC rates in future. 4. Payment Terms Payment terms will be ; 4.1 First 60% on delivery of the Hardware/software after signing the contract. 4.2 Second 30% on installation, testing and commissioning of the equipment/ system and completion of site acceptance test and successful functioning for 30 days. 4.3 Last 10% on completion of 2 months of successful functioning and on submission of Bank Guarantee of equal amount valid for 12 months. Please note that Delivery Proof and Installation Reports should be submitted in originals only while claiming payment in respect of orders placed. While claiming the delivery payment the supplier has to submit the following documents in original. i) Supplier's signed commercial Invoice. ii) Supplier's certificate that all components, parts, sub systems, consumable for the successful installation, commissioning and testing of the systems including basic tool for the day to day maintenance at site in good condition and if any shortfall is noticed during installation, commissioning and testing they will be supplied free of further cost to the bank iii) Certificate of Insurance covering all the risks during transit, storage, installation, commissioning, testing and handing over including third party liabilities 5. Security Deposit. 5.1 The successful bidder should submit a Security Deposit / Financial Guarantee for 10 % value of the contract within fifteen working days from the date of receipt of the order or on acceptance of the order whichever is earlier. If the Security Deposit / Financial Guarantee is not submitted within the stipulated period as above penalty at 1% per week or part thereof on the value of the order will be collected for delayed period on submission of Security Deposit/Financial Guarantee and will be recovered from the first payment.

5.2 Security Deposit should be submitted by way of DD drawn on Canara Bank / Bank Guarantee from any of the scheduled Bank from a branch functioning in India. 5.3 Security deposit if submitted in the form of Bank Guarantee, the guarantee period should not be less than the normal delivery time allowed by the bank plus the period required by the vendor to submit proof of delivery. If delivery is not completed / proof of delive ry not submitted before the validity period of the guaranty the vendor should ensure that the validity period of the guaranty is extended further for reasonable period. If the bidder fails to extend the guaranty period Bank will have the right to invoke the guaranty without giving further notice. 5.4 The security deposit / bank guarantee will be returned to the vendor on completion of delivery of all items. 6. Presentation by the Bidders: The technically qualified vendor shall give a presentation on their solution to the Bank, if requested. 7. Delivery, Installation and Commissioning. The supply, installation, testing and commissioning shall be completed within 6 Weeks from the date of acceptance of the order. The Installation will be deemed as incomplete if any component of the Mobile Payment solution is not delivered or is delivered but not installed and / or not operational or not acceptable to the Bank after acceptance testing / examination. In such an event, the supply and installation will be termed as incomplete and system(s) will not be accepted and the warranty period will not commence. If the Vendor fails to deliver and / or install the system /equipment ordered within the stipulated time schedule or by the date extended by the Bank, the same shall be treated as a breach of contract. In such case, clause (6.3) related to security deposit will be applicable and the Bank may invoke the Bank Guarantee without any notice to the vendor. In the event of the Bank agreeing to extend the date of de livery at the request of the Vendor, it is a condition precedent that the validity of Bank Guarantee shall be extended by further period as required by the Bank before the expiry of the original Bank Guarantee. Failure to do so will be treated as breach of contract. The supplier has to arrange for all insurance at his cost to cover all kinds of risks from the time the equipment leaves the manufacturing facility / supplier's site till handing over the system which shall also cover storage, erection, testing and commissioning, workmen compensation policy for the employees of the supplier at site and third party liability at the erection site. At the discretion of the Bank, there will be an acceptance test conducted by the Banks officials and / or its nominated consultants after installation. In case of serious discrepancy is noticed, the Bank may reject the entire solution. Page 12 of 31

Import / Export licence, if any required shall be arranged by the supplier only at his own cost. Failure to obtain required licence from the competent authority will not be considered as Force majeure. The Bank will not arrange for any Road Permit / Sales Tax clearance for delivery and the Vendor is required to make the arrangements on his own. However, the Bank will provide letters / certificate / authority to the Vendor, if required. Commissioning of the system /equipment will be deemed as complete only when the same is accepted by the Bank in accordance with the Terms & Conditions of this Tender. 8. Liquidated Damages. If the Vendor fails in delivery, installation, testing and commissioning of the Mobile Payment solution as per the terms of this Tender, the Bank shall be entitled to charge penalty / liquidated damages @ 1.00% of the item value per week or part thereof. 9. Order Cancellation The Bank reserves its right to cancel the Purchase Order at any time by assigning appropriate reasons in the event of one or more of the following conditions: 1. 2. 3. 4. In addition to the cancellation of purchase order, the Bank reserves the right to foreclose the Security Deposit given by the supplier against the order to appropriate the damages. 10. Software, drivers and Manuals. The supplier shall supply necessary drawings and documents to the Bank without any additional cost. The drawings and documents shall be in English. The drawing and documents to be furnished shall include the following: i) All general arrangement and installation drawings inclusive of installation instruction. ii) Complete assembly drawings. iii) Operation and maintenance instruction manual and descriptive literature wherever applicable shall also be supplied along with the equipment. iv) User manual etc for the application software along with media kit . v) Technical details on m-Commerce facility and connectivity diagram/architecture.

All drawings, documents, Manuals, catalogues and information furnished by the Supplier shall become the property of the bank. The supply of all drawings and manuals shall be completed in accordance with the completion schedule. 11. Warranty. The entire system/equ ipment/sub assemblies etc. shall be under warranty for its proper operation, performance as specified in the tender technical specifications, and shall be free from defective material and workmanship and any shortfall/defect that may appear/be detected within 12 months from the date of site acceptance, which in the opinion of the Bank has arisen from bad design, material and/or workmanship, shall upon intimation to the supplier, be made good at the supplier's own risk within 30 days. During the said warranty period of 12 months, the Supplier shall without any extra cost, carry out all routine and special maintenance of the Mobile Payment solution and attend to any difficulties/defects that may arise in the operation of the system The issue of acceptance certificate/inspection certificate/approval by the Bank shall in no way relieve the Supplier from the provisions of this clause. The vendor shall be fully responsible for the manufacturers warranty in respect of proper design, quality and workmanship. Vendor must warrant all components, accessories, spare parts etc. against any manufacturing defects during the warranty period. During the warranty period, vendor shall maintain the Mobile Payment solution and repair / replace at the site all defective components, at no extra charge to the Bank. 12. Annual Maintenance Charges. The Bidder shall quote his rates per year per system for all inclusive (comprehensive) maintenance service exclusive of VAT/Service tax after the expiry of Twelve months warranty period. The cost of AMC quoted may have impact on evaluation of the price. The AMC Charges should cover the regular maintenance of the solution, cost of the replaced parts and also the manpower cost. It may be noted by the Bidder that Bank will not provide any kind of assistance in the form of men/material and the Bidder will have to make his own arrangements for deputing the required skilled manpower including all necessary spares for setting right the reported/observed defects. These rates shall remain firm and valid for a period of Five years from the date of expiry of the warranty period. However, Bank reserves the right to review AMC rates periodically. Repairs to the systems and trouble shooting of software in the event of any breakdown, the scope of the contract shall comprise and include all costs, all taxes, duties, levies and other transport, handling, insurance charges for the following. 1 Preventive maintenance to ensure smooth and trouble free working of the system once in a month. 2 Routine servicing, troubleshooting, settings, adjustments, cleaning breakdown including cost of repair/supply of spares/ components/ Page 14 of 31

sub-systems. 3 The Vendor has to update the software as per the guidelines issued by the regulator (RBI) from time to time. The vendor should not charge any such upgradation in the software/solution. The supplier shall guarantee a system uptime of not less than 99.5% during the warranty and AMC, if contracted, calculated on monthly basis: The bidder shall guarantee an uptime of 99.5 % for Mobile Payment solution, during the period of the Contract and also during AMC, if contracted, which shall be calculated on monthly basis. The "Uptime" is, for calculation purposes, equals to the Total contracted hours in a month less Downtime. The "Downtime" is the time between the Time of Failure and Time of Restoration with in the contracted hours. "Failure" is the condition that renders a customer unable to perform any of the defined functions on the Mobile Payment solution. "Restoration" is the condition when the selected bidder demonstrates that the Mobile Payment solution is in working order and the Bank acknowledges the same. The Downtime calculated shall not consider any failure due to bank, third party and Force Majeure. The percentage uptime is calculated on monthly basis as follows: (Total contracted hours in a month downtime hours within contracted hours) ---------------------------------------------------------------* 100 Total contracted hours in a month If the bidder fails to guaran tee the required uptime, the Bank shall, for every half percent or part thereof decrease in guaranteed monthly uptime for Mobile Payment solution, extend the whole Warranty/AMC period by two days. One day is equal to 24 hours. If the uptime is below 98%, the Bank shall also in addition to the above deduct a penalty from the warranty payment or AMC payment, if contracted, @ 1% of the total cost of Mobile payment solution during warranty and cost of AMC during AMC for every half percent or part thereof redu ction in the uptime. However, if uptime is less than 95%, the Bank shall levy penalty and extension of period as above and shall have full right to terminate the contract under this RFP or AMC, if contracted. The right of termination shall be in addition to the above extension period and penalty. The Bank shall have the option to terminate the service contract any time during the contract period by giving a written notice of 3 months, without assigning any reason therefore. However, the contractor shall commit himself to the service contract for a minimum period of 6 years, unless the service contract is terminated by the Bank and will have no right to terminate the contract within this period. AMC Payment shall be made quarterly in arrears. Page 15 of 31

13. Local Support. The vendor should be capable of meeting the service & support standards as specified in this tender. Service support should be available on all days including Sunday in case of need by the Bank at no extra cost. 14. ONSITE SUPPORT: The onsite support charges (as stated in sl.no in commercial bid) will be payable on quarterly basis, on the completion of the quarterly period pertaining to the respective payment, subject to the support personnel attending the office. The rates shall be valid for a period of three years. Thereafter the onsite support will be decided on mutually agreeable terms. 15. ESCROW : Bank shall be the sole owner of the source code developed for Mobile payment solution. Bidder shall have ESCROW arrangements and they shall pro vide details on ESCROW arrangements for the Bank. 16. Indemnity. The vendor shall indemnify, protect and save the Bank against all claims, losses, costs, damages, expenses, action suits and other proceedings, resulting from infringement of any law pertaining to patent, trademarks, copyrights etc. or such other statutory infringements in respect of Mobile Payment solution supplied by them. 17. Publicity. Any publicity by the vendor in which the name of the Bank is to be used will be done only with the explicit written permission of the Bank. 18. Guarantees. The vendor should guarantee that the Mobile Payment solution delivered to the Bank are brand new, including all components. In the case of software, the vendor should guarantee that the software supplied to the Bank is licensed and legally obtained. All hardware and software must be supplied with their original and complete printed documentation. 19. Training. The supplier shall associate the Bank's staff during the installation, commissioning and testing of the system/s. The Contractor shall also train Bank's staff in the proper operation and trouble identifying and troubleshooting for a period of not less than 4 working days. The training shall include apart from operations of the system, trouble shooting and routine maintenance.

20. Negligence. In connection with the work or contravenes the provisions of General Terms If the Contractor neglects to execute the work with due diligence or expedition or refuses or neglects to comply with any reasonable order given to him in writing by the Bank and Conditions, the Bank may give notice in writing to the Contractor calling upon him to make good the failure, neglect or contravention complained of, within such times as may be deemed reasonable and in default of the said notice, the Bank shall have the right to cancel the Contract holding the Contractor liable for the damages that the Bank may sustain in this behalf. Thereafter, the Bank may make good the failure at the risk and cost of the Contractor. 21. Responsibility for completeness. Any supplies and services which might not have been specifically mentioned in this tender but are necessary for the design, engineering, manufacture, supply, installation, testing, commissioning, performance or completeness of the order, shall be provided / made available as per the time schedule for smooth and efficient operation and maintenance of the system under Indian condition. The Bidder shall be responsible for any discrepancies, errors and omissions in the drawings or other information submitted by him irrespective of whether these have been approved, reviewed or otherwise accepted by the bank or not. The Bidder shall take all corrective measures arising out of discrepancies, error and omission in drawings and other information as mentioned above within the time schedule and without extra cost to the bank. 22. Force Majeure. The vendor shall not be liable for default or non -performance of the obligations under the contract, if such default or non -performance of the obligations under this contract is caused by any reason or circumstances or occurrences beyond the control of the vendor, i.e. Force Majeure. For the purpose of this clause, Force Majeure shall mean an event beyond the control of the vendor, due to or as a result of or caused by acts of God, wars, insurrections, riots, earth quake and fire, events not foreseeable but does not include any fault or negligence or carelessness on the part of the vendor, resu lting in such a situation. In the event of any such intervening Force Majeure, the Vendor shall notify the Bank in writing of such circumstances and the cause thereof immediately within five calendar days. Unless otherwise directed by the Bank, the Vendor shall continue to perform / render / discharge other obligations as far as they can reasonably be attended / fulfilled and shall seek all reasonable alternative means for performance affected by the Event of Force Majeure. In such a case, the time for performance shall be extended by a period (s) not less than the duration of such delay. If the duration of delay continues beyond a period of three months, the Bank and the Vendor shall hold consultations with each other Page 17 of 31

in an endeavor to find a solution to the problem. Not withstanding above, the decision of the Bank shall be final and binding on the Vendor. 23. Resolution of Disputes. All disputes and differences of any kind whatsoever, arising out of or in connection with this Offer or in the discharge of any obligation arising under this Offer (whether during the course of execution of the order or after completion and whether beyond or after termination, abandonment or breach of the Agreement) shall be resolved amicably. In case of failure to resolve the disputes and differences amicably the matter may be referred to a sole arbitrator mutually agreed upon after issue of at least 30 days notice in writing to the other party clearly setting out their in the specific disputes. In the event of absence of consensus about the single arbitrator, the dispute may be referred to joint arbitrators; one to be nominated by each party and the said arbitrators shall appoint a presiding arbitrator. T h e provisions of the Indian Arbitration and Conciliation Act, 1996, shall govern the arbitration. In case the Proposal is not received as required above on or before the said date and time, we shall presume that you are not interested in supply of the item/s now and decision will be taken by us accordingly. Annexure E: Technical Specifications. 1. Mobile Banking Solution Specification & Scope of Work Currently Bank is extending limited Mobile banking services to its customers and intends to extend a full-fledged Mobile Banking (m-Banking and m -Commerce) Services to its customers. To fulfill the requirement, Bank is looking for a suitable software solution which is robust, scalable, and readily deployable with a minimum customization and contains all the security features that are needed to protect the confidentiality, availability, integrity of the information and non-repudiation of the transactions carried out through Mobile Banking Solution. Bank has implemented iFlex Core Banking Solution (CBS) in 1,049 branches and has in-house developed IBBS TBA solution in 1,654 branches to meet its customer requirement for anytime, anywhere banking. Similarly, Bank has already implemented Payment Solutions such as RTGS, NEFT, and has enabled o ther delivery channels such as Internet Banking, ATM and Anywhere Banking to its customers. Mobile Banking Solution (Solution) Specification and Scope of work is as under:

2.Compliance to RBI Technology Requirements: The solution offered should comply with all the Operative Guidelines for Mobile Banking Transactions in India issued by RBI vide circular no. DPSS.CO.No.619/02.23.02/ 2008-09 dated October 08, 2008. The solution should also comply with any further guidelines and mandates issued by RBI for Mobile Banking Transactions. Any modification required in the software supplied by the successful bidder to ensure such compliance shall be carried out by the successful bidder as per the mutually agreed terms. 3) HARDWARE & SYSTEM SOFTWARE: Bank is looking for a total solution, which includes relevant hardware (Seve rs, HSM and associated peripherals like printers, pin mailers, etc, system software) and the software solution for porting its Mobile Banking Solution. 6.1 Provide complete technical specification of items for which the bidder has quoted in the commercial bid. Such technical specification should be attached as part of technical bid. 6.2 Bidder shall ensure to supply all the software of the advanced/latest ve rsions available in the market. 6.3 Bidder shall ensure that all the hardware equipments delivered are of the advanced/latest technology available in the market.

7) CUSTOMISATION:

7.1 It is the sole responsibility of the Bidder to customise the solution as warranted during Implementation without any additional cost to the Bank. 7.2 All the customization as requested by the Bank shall be completed before installation of the solution. 8. CHANGE MANAGEMENT PROCEDURE: 8.1 Any change management activities required to be carried out by the Bidder in the Solution, either on the request of the Bank or to comply with any regulatory authorities, can be released to only after obtaining prior approval from the Banks authorities. 8.2 Such change management a ctivities shall be initially released in the test environment and only on completing of User Acceptance Testing by the Banks team the same shall be released to the production after obtaining prior approval from the Bank. 9) Risk Mitigation Measures: The solution should support configuring various limits such as, per day transaction limit, monthly transaction limit, and transaction velocity limit per customer, fraud checks, AML Checks etc. Such settings should be modifiable as and when there are changes in the policies.

10) REGISTRATION: The solution shall support Registration process as prescribed by RBI in their circular and also support Registration through various modes such as Manual, WAP, SMS, Internet etc. 11)RECONCILIATION/SETTLEMENT AND MIS REPORTS: Solution shall have comprehensive settlement/reconciliation and complaint redressal mechanism. The Bidder shall provide complete technical details and proforma of the MIS reports.
