Introduction
Education in todays time, is undergoing an evolutionary change. The greatest gift that an
educational Institution can give the diverse students is to enable them as learners.
Increasingly, global trends demand that early years learning facilities make use of more flexible
and creative learning spaces, nurturing skills rather than knowledge and inspiring children to
develop the confidence and communication abilities with which to engage fully with this ever-
evolving world of ours.
In order to optimize learning, teachers are embracing Multiple Intelligence as they recognize that
every child has a different approach to learning. It is then the job of the teacher to help children
discover their strengths and learn through the intelligence they are strong in and the more we
understand about the type of learner we are, the more effective our studying should become.
The importance of teaching through Multiple Intelligence is that it not only provides each person
(child or adult) with his or her unique set of strengths, it provides teachers with an organized
approach for the application of individualized instruction in the classroom.
Therefore, In order to maximize learning, individual differences must be sought out and explicitly
developed in each of us teachers and learners. To accomplish this each teacher must not only
know how each individual learns but also for the students to know how.
SBA Education has embarked on a journey to set up Early Years Learning centers globally with a
mandate to address the twin goals of a common curriculum and differentiated, multiple
intelligence centered processes for individuals.

Objectives of the engagement
SBA, Dubai is an educational consultancy that has a mandate to work in educational reform,
set up K-12 schools and Early Years Learning Centers, manage 3
rd
party schools on long
term agreements, conduct MI assessments and the delivery of strategic student
enrichment programs in the Middle East.
Johor Inc. (the operator) has approached SBA to provide strategic support to set up (or
transform) and manage Early Years Learning centers across JB, Malaysia. These could be
set up in Villas or a dedicated purpose-built facility.
These contemporary learning centers for the 21st century, built on implicit Islamic values,
multiple intelligence, multilingualism, multiculturalism, and creativity. Arabic and Islamic
studies will be integrated into the curriculum.
We envisage our EY learning facility as a performance theatre where the childs inner
dimensions of unfolding thought and emotion interlock with a fertile, welcoming and
intensely proactive, manifest learning world.

SBAs Support:

Responsibilities:

- SBA shall be consultants to the operator
- SBA shall license its Early Years Intellectual property (Curriculum, operations manuals, administrative processes,
assessment frameworks, EY testing and diagnostics) to the operator for five (5) years
- Assist to set up a Villa or Custom Built Early Years Learning Facility's
- Develop a strategic business plan (3 Years) for the facility
- Provide a complete layout plan of the facility, the accompanying learning centers and manipulative
- Deliver complete academic, administrative and professional development processes
- Select and implement technology (Smart boards, teaching & learning software frameworks etc.)
- Recruit and train teaching staff, assistants and center manager
- Monitor Teaching, learning and assessment processes
- Implement Standard Operating processes (SOP)
- Provide an On-going Professional development of teachers
- Marketing and business development support
- Audit / Inspection / audit x 3 times a year (each term)
- Growth and Acquisition strategy


- Johor Inc. (the operator) shall:
- Hire a center manager to take over the management and administrative functions
- Provide financial capital (as per the budget) for the EY facility such as: operations, IP acquisition, rental, furniture,
manipulative, photocopier, material IP video network teacher salaries, license, board of Governors and all statutory
requirements for the project
- Select and provide a rental property for the EY facility
- Shall sign a separate license agreement with SBA for the IP licensing


Proposed Arrangement

- Our mandate is to set up (or transform) 5-10 villa nurseries and custom built facility over a five (5) year
period
- SBA shall provide consultants to work on the Early Years project (s) alongside the center manager
- SBA consultants shall work with the center manager to deliver the EY project
- Initial engagement will be for five (5) years with the option to renew for another five (5) years
- All background Intellectual Property belongs to SBA and its partners
- If the agreement is prematurely terminated then the operator shall return all intellectual property to SBA




Financials

1. Duration : Five (5) Years, renewed every year automatically

2. Investment : RM 300,000/ year/Nursery (for the first two years of operations) and then 12% of revenues for the
duration of the agreement. The amount covers for all Intellectual Property, brand fee, MI curriculum, strategic
support and on-going monitoring and audit.

3. Launch Dates
-January, 2014

4. Number of days / week
-As necessary for the supervision

5. Premature Termination
-If the agreement is abruptly terminated, then the client shall pay the engagement fees for the whole year for each
nursery

7. Payment terms

Pre-payment as follows:

-Licensing costs AED 200,000
-4 x AED 25,000 payments for the year (AED Total 100,000)
-Total AED 300,000

Partial Engagement Terms


Agreement:

- If for some unforeseen circumstances (Force majeure), during the project, a Principal consultant is not available then
SBA reserves the right to deploy alternate consultants for the assignment
- All Intellectual property licensed to the operator including the templates, frameworks, software etc. by SBA shall remain
the property of SBA
- SBA reserves the right to bill the operator from another parent company in the UAE or Singapore
- If the agreement is abruptly terminated after signing, then the client shall pay the entire fee for the remaining year
- Either party can give 6 month advance notice to terminate the agreement (provided all obligations are fulfilled)
