Case
One day Mr. Zakir was died in heart attack. Provided that, Mr. zakir announced Toukeer( his son, minor, 17 years) in his legal representative.

Toukeer entered into this with the consent of all other partners. After joining Toukeer, the firm earns a profit of taka 600,000. then they used that money (profit) to open a new business named Book Store.

Mr. Helal sold some books without notifying other partners. After auditing that, they find loss of tk. 1000,000 by Mr. Helal.

The partners decided that Mr. Helal should be expulsed from the partnership act. But before discharging him, he should need to compensate the losses of his portion. Finally the owners decided to share their loss and liability equally among all partners.

1) Was the request made by Mr. Zakir (taking his minor son )Legal? Solutions: Yes Mr. Zakir can request his partners to take his minor son as a partner.

2) Can Mr. Toukeer enjoy the profit through the partnership Act 1932 ?Why or Why not ? Solutions: Yes , according to the Indian Partnership Act 1932 ,a minor can enjoy the profit of the firm.

3) Mr. Helal did an illegal task? Do u agree? Why and why not? Solutions: Yes, I agree. Because Mr. Helal did an illegal task of selling the books without confirming other partners.

selling books without notifying others. And he will compensate because this losses was made by his illegal task.

6 month later Mr Mahabub went to another country for his personal work. In this situation Mr Mahabub give his authority on Mr Sourabe, (as a agent not a partner ).

One year later , this firm made profit of tk 1 lac (1,00,000 ).Mr Jaman take 50% profit from this profit . . Another parson Mr Sourob want to take 50% profit .Because, He thinking that (I was invested 50% in this firm.)

Two years later , this firm suffered of tk 1,20,000 . In this situation, Mr Jaman bear 50% of the loss and another person Mr Sourob refused to bear any loss.

Answer no 01- NO . Mr Jaman has no right to take profit directly from the firm.He can take profit by Mr Mahabub( Because Mr Sourob was agreed with Mr Mahabub) And the Ratio of profit depend on their agreement .

Question no : 02 Can Mr Sourob avoid this loss? Ans :..?

Answer no 02 Yes , Mr Sourob can avoid this liability. Because He is a minor. .!!!

Company Name: Iqbal fast Food shop. Partners: Mr. Prokash, Mr. karim, Mr. Jamal and Mr. Iqbal. Total capital Invetsment: 1200000. Ratio: 3:2:1. Share of profit: The ration of the profit.

Mr jamal was a Nominal partner. the firm earned a profit and they shared the profit by the ratio of the investment. After 1 year, Mr. Iqbal decided to leave the business with his goodwill. Mr. Karim and Mr. Jamal were agreed but Mr Prokas was not. After departure of Mr. Iqbal, they hanged their firm name of Kisore Food Shop.

For the change of the name, the firm faced a huge amount of losses of tk. 18,00,000. Mr. Prokash was insolvent by recovering the portion of his losses.

Questions:
1) Can Mr. Iqbal enjoy the profit? Solution: No, Mr. Iqbal cannot enjoy the profit as he was a nominal partner and it was not mentioned in deed.

2) can Mr. Iqbal leave the firm? Solution: yes he can if the majority is with him.

Questions:
3)How can the partners recover the losses, the case of Mr. Prokash? Solution: the partners recover the losses by the ratio of their investments. like: Mr. prokash-900,000, Mr. Karim-600,000 and Mr. Jamal-300,000. But Mr prokash was insolvent, so the portion of the losses are 900,000+900,000=18,00,000 by Mr Karim and Mr. Jamal.
